Aboitiz Equity Ventures, Inc. is seeking an Associate General Counsel to provide legal services across AEV-managed units, focusing on contracts management, special projects, and dispute support. The role acts as Legal POC for assigned projects, coordinating with external counsel and contributing to the legal knowledge center.

The candidate will ensure compliance with laws and group standards while supporting team initiatives to achieve the Legal team’s scorecard.

Qualifications

• Bachelor's Degree in Legal Management or Political Science.
• Specialized in Laws or Juris Doctor.
• At least 5 years of relevant work experience.
• Law license/certification and training requirement.

Responsibilities

• Acts as the Legal Point of Contact for assigned projects and coordinates with external counsel.
• Drafts, reviews, and negotiates contracts and other legal documents for AEV and its BUs.
• Ensures contracts comply with applicable laws, board-approved risk parameters, and corporate charters/by-laws.
• Oversees external counsel performance and contributes to the legal knowledge center.

Job Mission/Purpose

The Associate General Counsel Provides legal services to AEV, AEV-managed business units, and other BUs (as requested) to protect them from legal and regulatory risk. The role focuses on contracts management, special projects, and dispute support, ensuring that contracts and legal documents comply with law, Group standards, and Board-approved risk parameters. The Manager acts as Legal Point of Contact (POC) for assigned projects, coordinates with external counsel when needed, contributes to the legal knowledge center, and supports team initiatives to achieve the Legal team’s scorecard.

Responsibilities

Deal Execution and Portfolio Management

• Acts as the Legal Point of Contact (“POC”) handling the drafting, review, negotiation of legal documents and assisting AEV or the concerned BU during conferences and meetings with other parties thereto in order to ensure that interests of AEV and its the BUs are advanced.
• Ensure AEV and AEV-managed BUs’ interests are advanced and protected in all legal documentation.

Contracts Management

• Prepare, draft, review, and revise contracts and other legal documents for AEV, AEV-managed BUs, and other BUs, based on AEV Legal standards and the requesting BU’s requirements.
• Ensure contracts comply with applicable laws, rules, regulations, corporate charters, and by‑laws.
• Help shield BUs from potential liabilities, or ensure such liabilities remain within industry parameters and limits set by the Board or responsible officers.
• Update and improve KISS templates (standard day‑to‑day document templates of the Aboitiz Group) from time to time.

Regulatory Compliance

• Coordinates and oversees the services rendered by external legal counsel and other advisors engaged by AEV and its BUs, ensuring timely PCC and SEC filings, effective coordination, and clear communication to support the timely completion of legal requirements and deadlines.
• Maintains strong working relationships with external counsel to ensure responsiveness and favorable engagement terms for the Aboitiz Group.

Knowledge Development and Sharing

• Contribute to the legal knowledge center by preparing or updating primers, templates, and quarterly training sessions.
• Keep the Group informed of current legal trends, developments, and regulatory changes affecting business transactions.
• Ensure timely dissemination of important legal and regulatory updates.
• Handles or supervises the execution of team initiatives as assigned by the Team Leader, ensuring initiatives are launched according to schedule, supporting the cascade of information on new tools and processes.

Additional Responsibilities

External Counsel Management

• Coordinate and oversee services rendered by external legal counsel and other advisors engaged for AEV and AEV-managed BUs.
• Evaluate external counsel performance based on AEV Legal standards and BU requirements.
• Help develop and maintain relationships with external counsel to secure favorable rates and quality of service for the Aboitiz Group.
• Quality and Cost Synergy in Legal Counsel Procurement (AEV & Group) by aligning with BUs and negotiating a panel of external legal counsels for the Aboitiz Group

Simplification and AI and Data Enablement

• Simplify the contract review process by creating clear guidance and education for stakeholders on legal requirements, enabling faster and more efficient collaboration with Legal.
• Updated and accesible data center, with simple and recurring requests automated.
• Integration of AI tools into team processes, thereby automating certain activities and allowing TMs to focus on high‑value activities.

Team Development

• Provide effective supervision and development of direct report through clear delegation, guidance, and feedback to support capability building and consistent delivery of legal work.
• Monitor ongoing litigation cases and potential disputes involving AEV and AEV-managed BUs.
• Draft demand letters and responses to potential litigants.
• Coordinate with external counsel to ensure case requirements and timelines are met.
