Job summary

Coins.ph in the Philippines is seeking a seasoned Legal Counsel to advise on lending, securitization, and fintech regulatory matters. You will draft and negotiate complex financing docs, support OLP design, and coordinate with risk and product teams to ensure compliant, scalable solutions.

The role requires 4–7 years of post-qualification experience, fluency in English, and the ability to operate in a fast-paced fintech environment.

Qualifications

• Minimum 4 to 7 years of post-qualification experience in banking and finance, lending, consumer credit, or structured finance in the Philippines.
• Experience with SEC lending and financing company and OLP frameworks, BSP regulations, and data privacy in credit.
• Ability to draft and negotiate finance documentation independently.
• Excellent judgment, analytical rigor, clear communication, and business pragmatism.
• Team player, agile, and able to adapt to a fast-paced environment.
• Motivated self-starter with passion for payments and cryptocurrency, requiring minimal supervision.
• Fluency in English with outstanding writing and communication skills.

Responsibilities

• Provide clear and actionable counsel to the business on financing, lending, and securitization activities, including the online lending platform (OLP) business.
• Draft, review, and negotiate financing and credit documentation, including facility and loan agreements, security documents, guarantees, intercreditor and subordination agreements, and receivables purchase agreements.
• Advise on securitization and structured finance transactions, including asset transfers, true sale, servicing arrangements, and investor documentation.
• Advise on regulatory perimeter for lending and financing, including SEC and BSP requirements, Truth in Lending Act, data privacy, and consumer protection.
• Support product, credit, and risk teams on OLP design, disclosures, terms, consent flows, and partnerships.
• Handle regulatory engagements, examinations, and inquiries; prepare regulator responses.
• Provide innovative legal solutions for fintech projects and assess new regulatory guidance.
• Offer practical legal guidance in a risk-aware, compliant environment and align with long-term strategy.
• Collaborate in a multi-jurisdiction international legal team.
• Attend case conferences and hearings with courts and government agencies.
• Other duties assigned by the Chief Legal Officer.

• Provide clear and actionable counsel to the business on the group's financing, lending, and securitization activities, including the online lending platform (OLP) business.
• Draft, review, and negotiate financing and credit documentation, including facility and loan agreements, promissory notes, security and collateral documents, guarantees, intercreditor and subordination agreements, and receivables purchase and assignment agreements.
• Advise on and document securitization and structured finance transactions, including asset transfers, true sale and bankruptcy remoteness analysis, servicing arrangements, and investor documentation.
• Advise on the regulatory perimeter for lending and financing, including SEC lending and financing company registration and OLP registration, the Truth in Lending Act, the Financial Products and Services Consumer Protection Act, interest rate and fee ceilings, permissible collection practices, credit information reporting, and data privacy in credit scoring and underwriting.
• Support product, credit, and risk teams on OLP design, covering customer journeys, disclosures, terms and conditions, consent flows, marketing claims, and arrangements with funding partners, collection agencies, credit bureaus, and scoring vendors.
• Handle regulatory engagements, examinations, and inquiries relating to the lending and financing business, and prepare responses to regulator correspondence.
• Provide innovative legal solutions for complex projects involving new technologies to support commercial objectives, including the analysis and advice on new regulatory guidance in the fintech industry.
• Provide practical advice on legal issues and risks in a risk-tolerant, but compliance-oriented environment, including the impact on the company's long-term strategy for business.
• Serve as part of a multi-jurisdiction international legal team.
• Attend case conferences and hearings with courts and government agencies.
• Other responsibilities not listed here but reasonably assumed to be a function of the role, including other business lines and matters as may be assigned by the Chief Legal Officer.

• Minimum 4 to 7 years of post-qualification experience, with substantive exposure to banking and finance, lending, consumer credit, or structured finance and securitization practice in the Philippines.
• Working knowledge of the SEC lending and financing company and OLP frameworks, BSP regulations, and the consumer protection and data privacy requirements applicable to credit.
• Demonstrated ability to draft and negotiate finance documentation independently.
