Job summary

Copeland Philippines seeks a licensed attorney to provide general legal and compliance support in Asia Pacific, with emphasis on contracts and data privacy. You will draft, review, and negotiate contracts with vendors and customers, advise on regulatory matters, and collaborate with HR, finance, and operations.

With 5+ years in-house or external counsel work, you will guide teams on risk, due diligence for potential M&A, and ensure adherence to data privacy laws across RoA jurisdictions.

Responsibilities

• Provide general legal and compliance support in RoA and designated units.

1. Purpose

• Provides legal advisory and contracts management support to Asia Pacific jurisdictions except China ("RoA"). Support other regional or global legal / compliance projects as may be designated.
• Acts as designated business partner / contracts support counsel under the company's new Commercial Excellence structure, supporting RoA and designated business units.
• Provides necessary onsite legal support on critical matters to Copeland Philippines.

2. Key Areas of Responsibilities (KRAs)

2.1 General Legal and Compliance Support in RoA or as otherwise needed

• Be a key advisor to business leaders on general legal concerns.
• Assists in the establishment of compliance policies, procedures and programs or improvement of existing ones.
• Supports potential M&A projects from due diligence, deal execution through post-close integration.
• Provides legal/compliance trainings to management and other internal stakeholders.
• Dispute/litigation management and supervision of external counsel.
• Supports other regional or global legal / compliance projects as may be designated.

2.2 Contracts Support

• Drafts, reviews, and negotiates various types of contracts with vendors, customers and other third parties, including but not limited to, Procurement Agreements, Sales Agreements, NDAs, Service Agreements and Consultancy Agreements.
• On the sales side, acts as designated business partner / contracts support counsel under the company's new Commercial Excellence structure, supporting RoA and designated business units (including SaaS business).
• Evaluates and provides legal approval on vendors and other third parties that transact with the company in accordance with company's due diligence and Checkpoint processes.

2.3 Data Privacy

• Develops, improves and implements data privacy policies and processes for relevant jurisdictions (e.g. Thailand, Philippines, Singapore) in RoA and other countries if required.
• Assists in the development and implementation of data privacy programs for the company.
• Manages relevant data privacy tools and data incidents, as may be applicable.

2.4 Necessary Onsite Legal Support

• Supports local site leadership on significant legal matters on a prioritized basis, ensuring alignment with broader regional and global business objectives.
• Collaborates with internal teams and external resources to manage corporate housekeeping.
• Advises labor cases in collaboration with HR and external counsels.

3. Policy Making / Decision Making Responsibilities

Assignments are received in the form of results expected, but there is freedom to decide on the procedures to follow.

Assignments are in the form of broad goals. There is broad latitude for decision making. Complex decisions / analysis are being made. Innovations and flexibility is being exercised.

4. Minimum Requirements

Education:

• LL.B. degrees or J.D. degrees or equivalent. Must be a licensed attorney.

Job Related Experience:

• More than 5 years' experience in providing general legal support to businesses in an external counsel and/or in-house counsel capacity.
• Must have experience in contract review, general corporate legal advisory and regulatory compliance.
• Must be familiar with business operations and concerns and have the ability provide practical legal advice that will enable the business to understand and make informed decisions.
• In-house counsel experience is a strong plus.
• Foreign language capability could be a plus if relevant for the business.
