Your Impact on Business

The Governance & Group Compliance Manager is the lead personnel who safeguards the organization structure, internal framework and policies of PETNET, Inc. that are aligned with group governance standards.

The role will work closely with the Chief Compliance Officer to ensure effective operationsof key elements ofPETNET, Inc. corporate governance and Group Compliance.

Key Functions

Oversee Operations and Risk-based Compliance Assurance Reviews ofGovernance & Group Compliance

  • Undertake periodic review of current AML practices and procedures and update the procedures as necessary for the Chief Compliance Officer's approval;
  • Conduct risk assessment and gap analysis, synthesize group policies and requirements, recommend applicable and relevant internal guidelines, engage with the concerned teams and facilitate the implementation of new processes and controls to mitigate risks;
  • Conduct follow-through reviews to ensure consistent and effective adherence to the new guidelines. This includes advising the Management and the BOD on relevant group policies and requirements;
  • Pro-actively take on additional responsibilities and administration tasks as required by the Chief Compliance Officer;

Stakeholder Management

  • Maintain relationships and communications with the Group, serving as the representative to the Group Governance Council. This includes responsibility in handling Internal Audits, Group and other third-party risk assessment and inspections, as well as proactively providing guidance to the Management in preparation for the inspection and closely monitoring compliance with findings and issues raised;

Report Management

  • Responsible in preparing regular Management reports and BOD-Committee/BOD compliance deck; monitor and consolidate Compliance accomplishments Tracker; update Compliance Checklists; accomplishment of the UBP Compliance Oversight Report, dashboard and self-assessments; identify reporting issues and recommend corrective measures;

Project Management

  • In-charge of various Governance & Group Compliance Unit project management, identify the requirements and expected results, coordinate with stakeholders, monitor progress, and documentation;
  • Monitor, work closely as well as provide support on project and business implementations initiated by the Group, business and support units that concern Compliance

Corporate Communications & Training

  • Provide training and orientation to all concerned units on newly issued guidelines, standards, and other relevant compliance policies;

People Development

  • Builds the capabilities of the Governance & Group Compliance team team by proactively managing the performance and competency development of each team member;
  • Implements Performance Management of team members from performance, planning, monitoring, evaluation, and improvement to ensure career progression;
  • Clarifies the roles, responsibilities and KPIs of each team member are understood to ensure achievement of targets; reviews and initiates modification as business requires;
  • Trains and mentors team members in the execution of their duties, ensuring constant improvement in their professional skills, and preparing them for succession planning;
  • Motivates, inspires and disciplines, when needed, team members to maximize their potentials and capabilities; and
  • Create an atmosphere of respect, trust and accountability among team members to facilitate analytical,problem-solving and innovative thinking.

Qualifications

  • Education: Graduate of Business and financial related courses;
  • Experience: At least 3 years of experience in Corporate Governance, Law or related-field; and
  • Governance or Regulatory experience in the financial industry is a plus.
