Infra One in the Philippines is seeking an in-house counsel to lead global venture and private equity deal structuring. You will structure, negotiate, and close cross-border investments with high legal and commercial standards.

You will provide governance advice, work with deal teams and external counsel, and monitor market developments to anticipate risks and opportunities in international transactions.

Qualifications

• Qualified lawyer with corporate/M&A, venture capital or private equity expertise.
• 5+ years in top-tier firms or in-house roles.
• Proven track record advising on complex international transactions.
• Excellent negotiation and drafting skills.
• Commercial mindset, entrepreneurial and adaptable.

Responsibilities

• Lead structuring and execution of VC/PE transactions.
• Draft, review, and negotiate investment agreements and shareholder agreements.
• Advise on governance, cross-border structuring, and regulatory issues.
• Collaborate with internal deal teams and external counsel for timely closings.
• Monitor market and legal developments in VC/PE to anticipate risks.
