Candidate should be a Law graduate ( preferably with Engineering/Science Degree but not mandatory ) with 15-20 years of corporate experience preferably in Engineering & Construction sector in reviewing and drafting contracts and agreements.
Key Responsibilities
- Drafting various types of Contracts and improvising the standard templates and providing end to end contract solutions on sales and procurement side.
- Guiding the division on the terms of Sales Contract and providing inputs to the vendor contracts
- Review EPC Contracts and Tenders for projects/services and products (related to Projects, Product Supply and Maintenance).
- Review of leases and tenancy agreements
- Negotiating Contracts with the customers and closing the contracts.
- Providing a risk mitigation plan for already signed contracts during the execution stage.
- Overviewing the Subcontracts/Work Orders, all vendor related contracts & transactions for vendor documentation and providing guidance wherever required.
- Negotiating the Subcontract with the vendors and ensuring closure of the same in a feasible manner.
- Drafting legal notices as per the provisions of the Contract and the Sub-Contract as the case maybe.
- Responding to the legal notices against the company issued by the Customers or Vendors.
- Negotiating corporate & bank guarantees, parent co guar etc. with the relevant parties.
- Dealing with claims and change orders as per Contractual Provisions and ensuring to the extent possible compliance of contractual provisions against the customer.
- Making claims for extension of time and other variations claims based on the provisions of the Contract and responding to the claims of the customer as per the Contract.
- Advising internal and external lawyers on the disputes and providing them inputs for any matter to be litigated in the court.
- Briefing the lawyer on Arbitration providing them inputs for the claim statement or the defence statement as per the requirement.
- Review of bank guarantees (incoming/ outgoing) and Letter of Credit received from Customers.
Qualifications
