Job summary

PwC Nederland's SPA Advisory team provides specialised support in financial aspects of M&A purchase price mechanisms and SPA clauses. We assist clients before and after signing, from closing accounts to leakage reviews and earn-out calculations.

The role involves identifying value drivers, translating analyses into negotiation points, and working closely with advisory teams to optimize deal value and protect clients’ interests. Hybrid work is available with client-site involvement.

Qualifications

• Academic background in Accounting, Finance, Business Administration or (Business) Economics.
• Experience in transactions and/or audit.
• Strong knowledge of how financial statements work and the relationships across balances, cash-flows and earnings.
• Excellent analytical and communication skills; you make complex issues clear quickly.
• Proficiency in Excel, Power BI and advanced data analytics.

Responsibilities

• Advise clients on the financial elements of the SPA and anchor outcomes in the right clauses.
• Identify value drivers and translate analysis into clear negotiation points.
• Assist with closing accounts, earn-outs, leakage reviews, and disputes on purchase price adjustments.
• Work with due diligence teams, investment banks, lawyers and other deal advisers to optimize value and mitigate risk.
• Coach, train and supervise team members; develop client relationships and business opportunities.
• Collaborate within PwC Deals project teams to identify and develop opportunities.
