Job summary

Deloitte Netherlands is seeking a Manager in the Financial SPA Advisory team to guide financial and accounting strategy for complex M&A transactions. You will advise on purchase price mechanisms, completion accounts and locked boxes, both pre- and post-closing, working with clients and legal advisors.

You will play a key role in our market-leading EMEA SPA practice, contributing to 100+ transactions annually in the Netherlands and collaborating with Deloitte member firms internationally.

Qualifications

• At least 5 years of experience in accounting with a recognised professional qualification (RA/ACA/ACCA/CPA) or equivalent.
• Minimum 3 years of experience in M&A Transaction Services, Financial Due Diligence or Financial Audit.
• Strong writing and reviewing skills with focus on conciseness and risk management.
• Broad commercial acumen and ability to perform under pressure in fast-paced deal environments.
• Excellent interpersonal and communication skills to challenge, negotiate and advise at senior client levels.
• Strong teamwork and ownership of your work and outcomes.

Responsibilities

• Lead the financial and accounting strategy across complex M&A transactions.
• Advise on purchase price mechanisms, completion accounts and locked boxes.
• Review and challenge completion and earn-out accounts post-closing and provide tactical advice during negotiations.
• Develop contractual solutions to financial and commercial issues identified through due diligence.
• Collaborate with clients, legal advisors and Deloitte colleagues across disciplines and regions.
