Job description

Deal breakers, value drivers, cash flows, data analytics, working capital and upside potential, are all keywords used within mergers, acquisitions, IPOs and (re) financing processes that you work on as a Financial Due Diligence manager at PwC.

Our Deals business is an exciting and an ever‑growing business that focuses on deals and crisis situations for our clients. Collectively, we deal with the types of situations you hear about regularly in the news and we provide support, insight and analysis to the management, shareholders and financiers of business.

This is what you’ll do

You help clients looking to buy a business, sell all or part of their business, refinance or list on stock exchanges through Initial Public Offerings (IPOs). Your work helps buyers understand what makes a transaction successful. You thoroughly assess a target company’s finances, consider the opportunities and risks, and identify potential deal issues. You also work with vendors; independently assessing businesses so that potential buyers can make informed decisions.

What exactly a financial due diligence process looks like depends entirely on the project. You will solve each problem with a tailor‑made approach. Sometimes, a financial ‘snapshot’ of the company suffices, whereas at another time, the deal issue will only be visible on a very detailed X‑ray. Depending on the client’s request, you look at the history or the projections of an organization. Each assignment will be completely different in terms of both content and process.

You will have the opportunity to work on both strategic and private equity transactions that will be varied and challenging. Advising throughout the deal cycle, you’ll see both the buy and sell side of the work, develop specialist sector understanding and enhance key skills in financial due diligence. You are part of a leading (inter) national Deals practice where innovation is central;

  • You work in project teams with specialists, often supplemented with tax specialists and strategy, carve‑out, synergy or IT experts. Your common goal is to get the most out of the deal for the client;
  • You support private equity parties and corporates in the purchase and sale of companies or business units. In addition to involvement in the transaction itself, you will also be involved before and after the transaction discussing strategic matters with the client;
  • You also coach and help your team members in their development and you are the person they can turn to for discussing their activities, ideas or proposals.
You’ll recognize yourself in this

You have experience in financial due diligence within an advisory practice or experience that is complementary to doing financial due diligence: i.e. experience of analysing financial information to identify key commercial drivers, risks and opportunities and reviewing financial projections. You have an ability to identify key issues and to deliver on time. You have great interpersonal skills and are able to quickly build collaborative relationships with a wide range of stakeholders internally as well as externally. Finally, you enjoy bringing the best out of your team and using your practical and creative skills to analyse and solve new issues.

In addition
  • You have studied Business Administration or (Business) Economics at a university, supplemented by a completed RA, RC or CFA (level 3) program.
  • You like to work in an (international) team and have good project management skills.
  • You have excellent analytical, excel and reporting skills in both Dutch and English.
  • You can empathise with your colleagues and stakeholders and you have an eye for the added value of everyone.
  • You are passionate about client service and have commercial awareness
  • You are curious about the developments in your field and are driven to make a difference with your team.
