Job summary

HighTechXL is seeking a proactive Legal Counsel with 3–5 years of experience to support the Senior Legal Officer in governance, corporate activities, and agreements for HighTechXL and portfolio companies.

Join a dynamic startup environment and collaborate with founders, investors, and business teams. This part-time role starts with 2–3 days a week and offers exposure to diverse legal tasks across governance, IP, financing rounds, and compliance.

Qualifications

• HBO/University Bachelor in Dutch Business Law (B) required.
• Minimum 3 years of experience as a paralegal, legal assistant, or corporate legal support professional.
• Startup/venture capital or law firm background is a plus.
• Strong drafting and communication skills with stakeholder management.
• Ability to manage multiple priorities in a fast-paced environment.
• Fluent in Dutch and English, both oral and written.

Responsibilities

• Draft, review, and manage commercial contracts, NDAs, collaboration & partnership agreements.
• Assist with fundraising and investment transactions, including due diligence coordination.
• Prepare shareholder and board meeting documentation, resolutions, and corporate filings.
• Maintain contract databases and corporate records across the venture builder and portfolio companies.
• Coordinate with external advisers, investors, and internal stakeholders.
• Support IP, confidentiality, and compliance matters.

To support our growing organization, we are seeking a proactive and detail oriented Legal Counsel with approximately 3–5 years of experience to support the Senior Legal Officer in managing our legal governance, and corporate activities and agreements at the level of HighTechXL and our portfolio companies.

As a member of the legal team, and in partnership with the Senior Legal Officer you will provide practical legal and administrative support across contract management, corporate governance, fundraising transactions, compliance, and legal operations. This role is ideal for a professional who enjoys working in a dynamic startup environment and collaborating with founders, investors, and business teams.

Key Responsibilities

• Collaborate with the Senior Legal Officer in drafting, reviewing, and managing commercial contracts, NDAs, collaboration agreements, partnership agreements, and other ancillary documentation.
• Assist with fundraising and investment transactions, including preparing legal documents, coordinating due diligence processes, and maintaining transaction records.
• Prepare shareholder and board meeting documentation, resolutions, minutes, and corporate filings.
• Maintain legal processes to store corporate records, legal documentation, and contract databases for the venture builder and portfolio companies.
• Coordinate with external legal advisors, notaries, investors, and internal stakeholders.
• Support intellectual property, confidentiality, and compliance-related matters.
• Monitor legal and regulatory developments and assist with the implementation of policies and procedures.
• Contribute to the development and maintenance of legal templates, processes, and best practices.
• Provide tailored legal advice and workshops to the startups participating in our Deep-Tech Venture Builder program

Qualifications

• HBO Bachelor or University Bachelor in Dutch Business Law B
• Minimum 3 years of experience as a paralegal, legal assistant, corporate legal support professional, or similar role.
• Experience working in a startup, scale-up, venture capital, investment, corporate, or law firm environment is a plus.
• Great drafting, communication, and stakeholder management skills.
• Ability to manage multiple priorities in a fast-paced environment.
• Fluent in Dutch and English, both oral and written
• Team player who can work independently while effectively supporting the Senior Legal Officer and broader business teams.
