Job description

Acting as Head of Legal and Secretarial Department who is responsible for managing all legal and secretarial matters, ensuring adherence to sector-specific regulations, and safeguarding the organization’s interests. The role also involves overseeing corporate governance, acting as the Company Secretary, and managing relationships with internal and external stakeholders, including government bodies and regulatory authorities.

Key Responsibilities:

Legal Affairs:

Provide strategic legal advice to the board, management and parent company (Railway Assets Corporation) on industry-specific regulations, including railway laws, safety standards, and government policies.

Draft, review, and negotiate contracts and agreements, including those related to development of railway properties/assets/lands/infrastructure, public-private partnerships (PPPs), railway network access agreement, lease of locomotives and wagons, maintenance repair and overhaul of rolling stock agreement as well as commercial agreements, joint venture agreement etc;

Represent the company in legal disputes, arbitrations, and litigation, particularly those involving land disputes, infrastructure development, transportation laws, or labor disputes.

Secretarial Duties:

Serve as the named Company Secretary, ensuring compliance with the Companies Act, 2016, the Railway Act, 1991 and other statutory requirements.

Attend board meetings, general meetings, and events that involve the Board.

Oversee filings and disclosures with statutory bodies, such as the Ministry of Transport (MOT), Ministry of Finance (MOF), and SSM.

Oversee the governance framework and provide guidance to the board on corporate governance best practices.

Ensure compliance with contractual and regulatory obligations in public-private or government collaborations.

Leadership & Stakeholder Engagement:

Represent Legal and Secretarial Department in management meeting (Senior Leadership Team-SLT) and other high-level meetings such as any Steering Committee of Projects including meetings at ministerial levels.

Lead and mentor the legal and secretarial teams to enhance their expertise and efficiency.

Engage with external stakeholders, including legal advisors, auditors, regulatory authorities, and project partners.

Support the board and senior management in strategic decision-making and risk management.

Education:

Bachelor’s/Master’s degree in Law (LLB/LLM).

Qualified Company Secretary certification is mandatory.

Experience:

Minimum 15 years of experience in corporate legal and secretarial roles. Exposure to the railway, infrastructure, or public utilities sectors is an added advantage.

Skills:

In-depth knowledge of railway laws, safety regulations, and corporate governance standards.

Strong contract negotiation and dispute resolution skills.

Excellent leadership, communication, and stakeholder management abilities.

Ability to navigate complex legal and regulatory landscapes independently.

Preferred Attributes:

Familiarity with public-private partnership (PPP) models and large-scale infrastructure development in the railway sector.

Strong ethics and the ability to maintain confidentiality.

Exposure to international railway standards or cross-border railway projects is an advantage.
