Position: Senior Specialist, Corporate Secretarial
Requirements/Job Description:
  1. Ensure smooth conduct and attend meetings such as board, board committee and senior management related meetings and prepare accurate and timely minutes and BNM submissions.
  2. Planning and execution of Board/Board committees/Shareholders’ meetings, including the setting of agenda, preparation of notices, board papers, resolutions and actioning of items arising from meetings.
  3. Ensuring compliance with statutory requirements and liaising with secretarial agents.
  4. Assist all matters in relation to corporate secretariat and corporate governance to ensure compliance with statutory or regulatory requirements, including Companies Act 2016, Financial Services Act 2013, BNM policy documents, Corporate Governance, and advise on the latest developments of applicable rules and regulations.
  5. Be the custodian of the common seal for the Bank.
  6. Advise board and senior management team on corporate governance matters.
  7. Review TOR for BOD and relevant submissions.
  8. Act as official liaison person with regulators/external auditors/advisors.
  9. Prepare relevant proposals for BOD.
  10. Management, update and implementation of terms of references with stakeholders in the Bank and Board.
  11. Ensure maintenance of statutory registers and filing of statutory forms with the registrar in compliance with applicable laws.
  12. Advise, structure, draft and negotiate a wide range of agreements and other documentation.
  13. Provide effective interpretation and recommendation on regulations and policies affecting the business and legal documentation.
  14. Interfacing as necessary with other business support teams within the Group.
  15. Monitor ongoing legislation and regulatory changes applicable to the Bank.
  16. Represent the Bank’s interests and interface directly with external counsel, as appropriate.
  17. Filing of any company secretarial matters with Suruhanjaya Syarikat Malaysia (SSM).
