Job Responsibilities
- Assist in all corporate exercises of the Group.
- Support the Director/HOD in managing the company's daily operations.
- Maintain statutory books, administrative records, registers of members, directors, secretaries, charges, and substantial shareholders to ensure all corporate secretarial records are updated timely.
- Prepare company resolutions, minutes of meetings, board papers, statutory forms, and other corporate secretarial documents for submission to the Companies Commission of Malaysia, LHDN, and other authorities.
- Organize and update all corporate secretarial documents systematically for quick retrieval and efficient fulfillment of requests.
- Ensure compliance with updated corporate secretarial practices, Companies Act 2016, and other relevant regulations.
- Monitor invoices from external company secretaries to ensure timely submission to the finance department and minimize payment delays.
Legal Support
- Provide legal support to the Board of Directors and Management.
- Review agreements and legal documents to ensure alignment with business objectives and protection of the company's interests.
- Prepare executive summaries for contracts, outlining background, legal exposure, and liabilities.
- Manage the filing of legal documents systematically for safekeeping and quick retrieval.
- Monitor legal invoices from external lawyers for timely processing.
Other Duties
- Perform additional duties as required by management related to legal and corporate secretarial services.
- Support all Board of Directors' activities.
- Ensure proper execution of all administrative tasks within the department.
Qualifications & Experience
- Bachelor's degree or Diploma.
- Professional qualifications are preferred.
- Minimum of 5 years relevant work experience.
Skills & Knowledge
- Knowledge of Listing Requirements and BURSA regulations is preferred.
- Understanding of Securities Commission Act and regulations is advantageous.
- Familiarity with Corporate Governance Code.
- Experience in drafting Board papers, reports, and minutes.
- Proficient in MS Office and computer literacy.
