To act as named Company Secretary for assigned companies to manage and provide secretarial advice (e.g. Companies Act 2016, AMLA and etc) to Board members and Management.

To coordinate and organize all Board Committees, Board and Shareholders’ Meetings (physical and virtual), including in attendance at the meetings, taking meeting minutes, disseminate the respective decisions/advice to the stakeholders and providing advisory support to the Chairman of the meeting, where necessary.

To review proposal papers to be submitted for the Board / Board Committees and Shareholders and highlighting to the Management the risks/exposures involving possible breaches/non-compliance to the Companies Act 2016 or other applicable regulations/governance practices; and suggesting solutions (where possible) to mitigate them.

To assist Directors in discharging their duties and compliance with corporate legislation requirements and update Directors and Management on latest developments.

To collaborate and work closely with all stakeholders (internal and external) including authorities (such as CCM) to ensure completeness of papers/proposals and compliance.

To undertake and support the improvement to secretarial practices and strategies to enhance efficiency and corporate governance and to prepare any proposals under the purview of Secretarial for the Board’s approval.

To provide on-the-job coaching, guidance for development and assist the monitoring of performance of the Secretarial Team for a smooth flow of daily secretarial operations while maintaining a high-performance culture.

To maintain proper safe keeping of registers and statutory secretarial records of portfolio companies as required by law and to undertake such departmental managerial duties as the Head of Secretarial may direct.
