General Job Summary
The Manager, Secretarial is responsible to oversee, manage and provide corporate
secretarial support and advisory services to ensure compliance by the Corporation, its
subsidiaries and related entities (“the Group”) of statutory and regulatory requirements
as well as corporate governance standards under Malaysian corporate laws.
Key Responsibilities
- Act as the licensed Company Secretary for the Group
- Ensure compliance with the Companies Act 2016, Securities Commission (SC) regulations, Bursa Malaysia Listing Requirements (for entities within the Group which are listed) and other relevant laws
- Prepare and file statutory documents with the Companies Commission of Malaysia (SSM)
- Maintain and update statutory records, including registers of members, directors and charges
- Organise and document Board and Committee meetings, including drafting agendas, preparing minutes, and ensuring timely dissemination of board papers.
- Manage Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), including preparation of notices, resolutions, and minutes
- Liaise with shareholders, regulators (SSM, SC, Bursa Malaysia), auditors, and legal advisors on corporate matters
- Assist in corporate exercises (e.g., share issuances, restructuring, M&A) from a secretarial compliance perspective
- Monitor changes in corporate laws and advise management on impact and required actions
Job Requirements:
- Degree (any discipline) from a recognised university
- Qualified and fulfil requirements to act as a company secretary as outlined by SSM
- Minimum 10-15 years of corporate secretarial experience. Experience in a public listed company (PLC) or statutory bodies would be an added advantage
In-depth knowledge of:
- Companies Act 2016
- Bursa Malaysia Listing Requirements
- Securities Commission (SC) Guidelines
- Malaysian Code on Corporate Governance (MCCG)
- Strong experience in Board support, corporate governance and regulatory filings
- Excellent command of English and Bahasa Malaysia (written & spoken)
- Proficient in secretarial software (e.g., MYCOID, SSM e-filing)
- Strong analytical, organisational, and stakeholder management skills
- Ability to work independently and handle multiple deadlines
- Exposure to legal, compliance, or risk management functions
- Skilled in using Microsoft 365
Preferred Qualification
- Membership with MAICSA (Malaysian Institute of Chartered Secretaries and Administrators) or ICSA
