Job Summary
Assist the Group Company Secretary in providing corporate secretarial support for BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees (collectively referred to as ‘stakeholders’) effectively and efficiently and in accordance with the prescribed governing regulations.
Job Description
- Provide efficient services i.e. accurate/quality/speedy secretarial documents/records and corporate information to internal and external customers.
- Assist on secretarial matters to BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees.
- Ensure timely lodgment/ submission of statutory documents/ information/notifications to the relevant authorities as prescribed in the Companies Act, 2016, Bank Negara Malaysia policy documents and guidelines and Development Financial Institutions Act 2002 (Act 618).
- Ensure that the general meetings/meetings of BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees are properly convened as per requirement in the Companies Act, 2016 and its terms of references.
- Provide and ensure that the secretarial administrative functions are attended to accordingly as follows:-
- Attend and draft minutes of meetings of BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees.
- Prepare directors’/members’ circular resolutions and extract minutes of meetings of BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees.
- Assist in preparing/compiling board papers for BPMB Group of Companies, Board Oversight Committees and Management Oversight Committees and ensure its timely delivery.
- Prepare corporate information/statutory documents for stakeholders.
- Monitor and ensure the updating of the register books and proper record of statutory documents.
- Enhance knowledge and skills as part of self-development.
- Assist the team by providing and sharing knowledge and guidance to achieve the desired goals.
Job Requirement
- Degree in related field (ICSA/Corporate Administration) or similar discipline.
- Member of MAICSA or relevant professional bodies or license secretary by Suruhanjaya Syarikat Malaysia would be an advantage.
- Minimum 2 - 5 years of experience in secretarial related works.
- Conversant in company law and company secretarial practice.
- Understanding business issues and context while writing minutes.
