A leading company in Malaysia is seeking a Corporate Secretarial Manager to ensure compliance with the Companies Act and coordinate statutory documentation. The ideal candidate will possess strong communication skills and ICSA qualifications, along with significant experience in the corporate secretarial field. Prepare and lodge statutory documents and returns in compliance with the Companies Act, 2016.
Attend and draft Minutes of Board of Directors Meetings, General Meetings and Management Meetings.
Prepare notice of AGM, compile proxy forms, venue arrangement, agenda and accommodation arrangement.
Prepare Directors and Member resolutions.
Prepare and filing of relevant statutory documents to Companies Commission of Malaysia.
Full range of Company Secretarial Services including Company formations, share transfers, notification of change of Directors and Officers.
Prepare documents, compilation and arrange for printing and delivery of annual reports.
Draft and release bursa announcements.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Oversee policies and making sure they are kept up to date.
Maintain the register of shareholders and monitor changes in share ownership of the Group.
Maintain Corporate Website.
Direct and oversee the work of a dedicated team member, providing guidance, support and leadership.
Perform any other duties as directed by the immediate superior from time to time.
Qualifications, Experience and Skills :
Qualification of ICSA or member of ICSA
At least 5 years working experience in corporate secretarial field
Good command in written and spoken in English
Good interpersonal skills with positive attitude
