A leading HR solutions provider in Asia Pacific is seeking a Corporate Secretarial Manager in Kuala Lumpur. The ideal candidate will oversee compliance, manage corporate secretarial functions, and support organizational governance while maintaining strong client relationships. Candidates should have a relevant degree and ICSA/MAICSA qualification, with minimum experience in corporate governance and a detail-oriented approach essential for success in this role.
● Advise clients on statutory compliance, corporate structure, governance practice, and all related secretarial matters.
● Manage a portfolio of both local and international companies, handling all aspects of corporate secretarial work, including but not limited to company’s incorporation, changes in corporate
structure, and company’s dissolution.
● Ensure the proper maintenance and updating of statutory records, forms, returns, and notifications in compliance with the Companies Act 2016, Securities Commission Malaysia Act,
Bursa Malaysia’s Listing Requirements, Stamp Act, and other relevant regulatory authorities.
● Ensure compliance with all applicable corporate legislation, statutory reporting and filing obligations, and corporate governance frameworks.
● Monitor and ensure all statutory reporting and filings are completed accurately and on time in accordance with corporate governance frameworks and best practices.
● Support and execute corporate secretarial functions including drafting resolutions and other relevant documents and filing with the relevant authorities.
● Assist the Director in organizing and coordinating Board of Directors’ Meetings (BODMs), Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs),
ensuring full compliance with all statutory obligations and procedural requirements.
● Liaise with clients, auditors, tax agents, legal advisors and/or other relevant government authorities on secretarial matters.
● Handle client onboarding and acceptance procedures, including KYC checks and compliance with relevant required standards.
● Support the business development efforts by attending to new client inquiries, preparing proposals, and assisting in onboarding processes.
● Maintain a proactive role in managing client relationships and handling escalations, ensuring client satisfaction and long-term engagement.
● Lead and manage your team mate’s work before sending the respective work to clients.
● Manage clients’ expectations.
● Undertake any other ad-hoc assignments, tasks, or responsibilities as directed by management or supervisor.
JOB REQUIREMENTS:
1. Degree in Corporate Administration, Law, Business Administration, or related fields.
2. ICSA/MAICSA qualification is required (or near completion).
3. Supervisor/Manager Level: Minimum 4–6 years of relevant experience.
4. Senior Manager Level: Minimum 6–8 years of experience with team leadership responsibilities.
5. Experience handling listed companies or working in a professional services environment is a strong advantage.
6. Excellent knowledge of Companies Act 2016, Bursa Malaysia, Stamp Act, and other statutory regulations.
7. Proficient in drafting corporate secretarial documents and using systems like MBRS, MyCoID, or Viewpoint.
8. Detail-oriented with strong organizational, communication, and client servicing skills.
9. Capable of multitasking, meeting deadlines, and leading a team effectively.
