Responsibilities

Summary
Support the Chief Legal Counsel in areas such as contract development, legal matter administration, and corporate matters.

Key Responsibilities & Duties

  • General Corporate: Advise management on legal issues related to strategy, governance, compliance, employment law, intellectual property, and other matters. Draft, vet, and negotiate contracts. Manage relationships with outside counsel.
  • Investment: Provide legal advice on investment opportunities, coordinate legal due diligence, advise on structuring investments, and handle legal aspects of exits.
  • Private Credit: Advise on legal and structural aspects of private credit transactions, conduct legal due diligence, draft and review credit and security documents, and monitor regulatory changes.
  • Company Secretarial: Schedule & convene BOD & Committee Meetings, prepare papers, and minutes.
  • Policies & Procedures: Develop and ensure compliance with policies related to governance and legal issues. Liaise with departments and external parties. Assist with company secretarial duties.
Requirements
  • Second-class upper degree in Law from a top-tier university.
  • 5-7 years of relevant in-house legal experience or in a reputable law firm handling corporate clients.
  • Experience in corporate transactions, M&A, and private credit transactions.
  • Strong drafting, negotiation, and advisory skills.
  • Good communication skills and ability to liaise with external lawyers.
  • Knowledge of corporate law and regulated investment funds is advantageous.
