Job summary

A leading company seeks a Legal Counsel/Senior Executive for a 6-month contract to provide comprehensive legal support in corporate, commercial, and compliance matters. The successful candidate will manage legal risks, collaborate with business units, and contribute to strategic initiatives. A Bachelor's degree in Law and a minimum of 3 years' experience in legal practice is required.

Qualifications

Legal Counsel/ Senior Executive - Legal & Corporate Services (6 months Contract)

The primary role for this position involves providing legal support on a broad range of corporate, commercial, litigation and compliance matters, while also support in overseeing the management of corporate secretarial functions in coordination with external company secretaries. The successful candidate will contribute to the Group's strategic and operational needs, particularly in areas relating to technology solutions, cross-border tenders and consultancy services.

Corporate & Commercial Legal Work

i. Draft, review and negotiate a wide range of legal documents, including but not limited to NDAs, letters of intent, teaming agreements, service agreements, tender-related agreements, IT related agreements, commercial agreements, share sale agreements and shareholders agreements.

ii. Provide legal advise on local and cross-border transactions and tender participation requirements.

iii. Assist in structuring and reviewing business arrangements and partnerships to ensure compliance with applicable laws and regulations.

i. Manage and monitor ongoing litigation and potential disputes involving the Group.

ii. Liaise with external legal counsels and provide updates for management.

iii. Support internal stakeholders in evaluating legal risks and resolution strategies.

Corporate Secretarial Oversight

i. Coordinate with external company secretaries and provide company secretarial support.

ii. Support the preparation of material for board meetings and post meeting follow up.

Compliance

i. Assist in monitoring regulatory developments (local and overseas) relevant to the Group's operations and advise stakeholders on legal and compliance implications.

ii. Assist in developing and reviewing internal legal policies, contract templates and standard operating procedures.

ii. Support compliance with anti-bribery and anti-corruption laws and data protection laws.

Cross-Functional Support

i. Collaborate with business units and other support functions on contractual and regulatory matters.

ii. Assist in training and awareness on legal risk and compliance requirements where needed.

Requirements :

Bachelor's Degree in Law (LL.B) and admission as an Advocate & Solicitor in Malaysia is preferred.

Minimum 3 years of relevant working experience in legal practice or in-house legal department, ideally in a corporate/ commercial setting.

Exposure to technology related industries, public listed company governance, or overseas tendering is advantageous.

Strong analytical skills with the ability to assess legal risks and provide business focused solutions.

Excellent written and verbal communication skills in English and Bahasa Malaysia.

High level of integrity, independence and professionalism.

Self motivated and proactive, with the ability to work under pressure while effectively managing multiple priorities.
