Job summary

Green Lagoon Technology Sdn. Bhd. is seeking an experienced in-house legal counsel to provide practical and commercially focused advice to Management and support corporate transactions, governance and risk management.

The role covers drafting and negotiating commercial agreements, advising on corporate matters, and coordinating with internal teams on legal issues. A 5-year track record and a solid Malaysian law background are expected, with strong English and Bahasa Malaysia communication skills.

Qualifications

• Bachelor's Degree in Law (LLB) from a recognised university.
• Preferably admitted as an Advocate & Solicitor of the High Court of Malaya, or equivalent professional qualification.
• Minimum 5 years of relevant legal experience, preferably in corporate/commercial practice or in-house.

Responsibilities

• Draft, review and negotiate commercial and corporate agreements and other legal documents.
• Advise Management on corporate, commercial and operational legal matters.
• Support corporate exercises and transactions including investments, acquisitions, subscriptions, JVs, restructuring and financing arrangements.
• Review shareholders' agreements, subscription agreements, SPAs, JV agreements and other transaction documents.
• Identify contractual and legal risks and recommend practical mitigation measures.
• Advise on applicable Malaysian laws, regulatory requirements and corporate governance matters.
• Support the Group on disputes and potential litigation, coordinating with external solicitors.
• Manage and coordinate external legal counsel and advisers.
• Conduct legal research and provide clear, commercially practical recommendations to Management.
• Work with Corporate Affairs, Finance, HR, Business Development, Project, Procurement, Sustainability, Regulatory, Safety & Health and other departments.

Job description

This role will serve as the Group's in-house legal counsel, providing practical and commercially focused legal advice to Management and supporting the Group's corporate transactions, commercial agreements, regulatory compliance, corporate governance and legal risk management.

Key responsibilities

Draft, review and negotiate commercial and corporate agreements and other legal documents.

Advise Management and business units on corporate, commercial and operational legal matters.

Support corporate exercises and transactions, including investments, acquisitions, subscriptions, joint ventures, restructuring and financing arrangements.

Review shareholders' agreements, subscription agreements, SPAs, JV agreements, deeds, undertakings and other transaction documents.

Identify contractual and legal risks and recommend practical mitigation measures.

Advise on applicable Malaysian laws, regulatory requirements and corporate governance matters.

Support the Group on disputes, claims and potential litigation, including coordinating with external solicitors where required.

Manage and coordinate external legal counsel and professional advisers.

Conduct legal research and provide clear, commercially practical recommendations to Management.

Work closely with Corporate Affairs, Finance, HR, Business Development, Project, Procurement, Sustainability, Regulatory, Safety & Health and other departments.

About you

Bachelor's Degree in Law (LLB) from a recognised university.

Preferably admitted as an Advocate & Solicitor of the High Court of Malaya, or with an equivalent recognised professional legal qualification.

Minimum 5 years of relevant legal experience, preferably in corporate and commercial practice and/or an in-house legal environment.

Strong experience in contract drafting, review and negotiation.

Good understanding of corporate transactions, corporate governance and regulatory compliance.

Strong analytical, problem-solving and legal risk assessment skills.

Able to work independently, manage multiple matters and provide practical solutions within tight timelines.

Strong written and verbal communication skills in English and Bahasa Malaysia.

Experience or exposure to public-listed companies, corporate exercises, energy, renewable energy, infrastructure, engineering or project-based businesses will be an added advantage.

Our company's business is to convert wastewater to wealth through innovative use of the biogas that is generated from wastewater degradation, particularly from palm oil mills. We are currently involved in several projects to generate electrical power to be sold to the grid, and we have completed various projects in Malaysia and Indonesia.
