The Legal Counsel is an executive position responsible for managing the legal activities and corporate affairs matters of the company. The duties include evaluation and managing legal risk, managing legal documentation, managing corporate secretarial matters, and providing highlights and recommendations for business actions.
Responsibilities:
Legal Advisory
Understand business objectives and explain legal risks to management
Help management make informed decisions using both business and legal analysis
Review agreements and participate in discussions with external parties
Prepare and draft agreements for management approval
Handle all company legal matters, including managing difficult client situations
Create procedures for legal functions
Research laws and regulations, assess risks of agreements with different governing laws, and stay updated on legislation changes
Support various projects from risk management and legal perspectives
Operational Support
Draft, review, and negotiate commercial contracts (client, distributor, service agreements)
Advise management on legal and regulatory risks, particularly FDA regulations for medical devices
Develop strategies to make negotiations more efficient
Help clients understand rules for importing medical equipment
Assist clients in resolving medical device import problems
Support the operations team with legal documentation to reduce risks
Help the finance team with international financial matters (exchange rates, taxes, payments)
Administrative Support
Create strategies to prevent court cases against the company
Assist HR with employment issues and labor law compliance
Conduct training on risk management, compliance, ethical conduct, and contract management
Corporate Governance
Advise the board and management on governance matters
Ensure compliance with company constitution and local regulations
Work with corporate secretary to meet regulatory requirements
Organize board meetings and documentation
Maintain corporate records and information
Manage corporate agreements for directors and shareholders
Review company setup requirements in different jurisdictions
Serve as primary contact for governance matters
Identify and implement operational improvements
Qualifications
A Degree in Law, Post-Graduate Diploma, Professional License Holder, or any related field.
At least 3 years’ experience in legal functions.
Strong business and corporate law knowledge.
Good management skills.
Fluent in English and Mandarin with excellent writing and verbal communication skills.
Result-oriented, can work with minimal supervision, and willing to assume increasing levels of responsibilities.
Computer literate with advanced skills in Microsoft Office (Word, PowerPoint, etc.).
Strong organizational and leadership skills.
