The Junior Legal Counsel will be a key member of the legal team, supporting the company's corporate legal functions with a focus on backend operations. This role requires a detail-oriented individual with a strong understanding of corporate law principles and excellent drafting and analytical skills. The Junior Legal Counsel will work closely with the Chief Legal Officer in the US and the Head of Finance in India, providing essential legal support to various internal stakeholders. Key Responsibilities:
Contract Management:
Review, draft, and negotiate a wide range of commercial agreements, including but not limited to service agreements, vendor contracts, non-disclosure agreements, and other corporate legal documents.
Manage the contract lifecycle from initiation to execution, ensuring timely completion and adherence to company policies.
Maintain an organized database of contracts and legal documents, ensuring accuracy and accessibility.
Identify and analyze contractual and commercial risks and provide recommendations to mitigate these risks.
Legal Operations Support:
Assist in the development and implementation of internal legal policies, templates, and processes.
Support the Chief Inside Counsel with legal research on various corporate law matters.
Maintain and update legal databases and knowledge management systems.
Assist in the preparation of legal reports and presentations as required.
Support legal aspects of corporate governance, compliance, and regulatory matters under the guidance of senior counsel.
Cross-Functional Collaboration:
Collaborate effectively with the Finance team in India on legal matters related to financial transactions, compliance, and reporting.
Liaise with other internal departments (e.g., Procurement, IT, HR) to provide legal support and guidance on relevant issues.
Work closely with the US-based legal team on global projects and initiatives, ensuring seamless communication and coordination.
Compliance and Risk Management:
Assist in ensuring the company's compliance with applicable laws, regulations, and internal policies in India.
Support the identification and assessment of legal risks and contribute to the development of risk mitigation strategies.
General Legal Assistance:
Provide general legal administrative support to the Chief Inside Counsel and the broader legal team.
Assist with ad-hoc legal projects and tasks as assigned.
Investment and Securities Compliance:
Help prepare investor , equity and securities documentation and reporting packages
Qualifications and Experience:
Bachelor of Laws (LLB) or Master of Laws (LLM) degree from a recognized university in India.
1 year of post-qualification experience in corporate law, preferably with exposure to contract management and commercial transactions.
Strong understanding of Indian corporate law and commercial regulations.
Excellent drafting, negotiation, and communication skills (both written and verbal) in English.
Strong analytical and problem-solving skills with a keen attention to detail.
Ability to work independently and as part of a team in a fast-paced, international environment.
Demonstrated ability to manage multiple tasks and prioritize effectively.
Professional demeanor and strong ethical standards.
Flexibility to accommodate occasional meetings during US time zones.
Reporting Structure in Detail:
This Junior Legal Counsel role has a dual reporting structure:
Direct Reporting to Chief Legal Officer (US):
The primary reporting line for legal matters, guidance on legal strategy, and professional development related to legal expertise will be to the Chief Inside Counsel based in the United States.
Regular communication and updates on legal tasks, challenges, and achievements will be expected.
Performance reviews and goal setting related to legal responsibilities will be driven by the Chief Inside Counsel.
Secondary Reporting to Head of Finance (India):
For operational matters within India, including administrative tasks, coordination with local teams, and alignment with the company's financial and operational goals in India, the role will also report to the Head of Finance in India.
Collaboration on matters that have a financial or business impact within India will be a key aspect of this reporting line.
This reporting structure ensures that the legal function is well-integrated with both the global legal strategy and the local business operations in India.
This dual reporting structure requires excellent communication and organizational skills to manage expectations and responsibilities effectively across both reporting lines. The Junior Legal Counsel will need to be proactive in keeping both supervisors informed of their work and any potential conflicts or overlaps in responsibilities.
