Job description

JOB PURPOSE

The Executive will be responsible to provide support to Manager in handling corporate secretarial matters. This position will also need to ensure service excellence and on time delivery to clients.

JOB ACCOUNTABILITIES / KEY RESULT AREA

Secretarial Support Services

  • Provide support to the Company Secretaries on the full range of secretarial compliance works and secretarial functions.
  • Provide assistance in drafting of resolution and statutory forms, upkeeping of statutory records and ensure compliance to the Companies Act 2016, Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa”), Capital Markets and Services Act 2007, Malaysian Code on Corporate Governance and any amendments/updates thereto.
  • Provide support in the convening of Board meetings including coordination for meeting dates, compilation of agenda, issuance of notice, compilation and circulation of board papers and follow-up on updates for matters arising.
  • Assist in the preparation and coordination for Annual General Meeting / Extraordinary General meeting of public listed company and/or public companies.
  • Assist in the issuance of communication and correspondence with Management, external Company Secretaries, regulatory authorities, auditors, shareholders and other stakeholders.
  • Assist and support the Company Secretaries on any other task as and when assigned.
  • To prepare and lodge statutory documents and forms with the Registrar within the stipulated timeline.
  • To circulate the meeting materials to the Board within the notice period.
  • To prepare certification of statutory documents.
  • To verify corporate information on documents requiring common seal.
  • To ensure the corporate records are archived and uploaded on the electronic data management system within timeline.
  • To update statutory registers and minutes books on timely basis within the stipulated statutory requirements.

Stakeholder Management

  • Takes initiative in improving workflow and department’s operations.
  • Assist Company Secretaries to attend to verbal and written enquiries, communication and correspondence from inter-group, intra-group, regulatory authorities, advisors, auditors, shareholders, stakeholders, registrar and public.
  • Works closely with the Company Secretaries and other relevant internal stakeholders to achieve UEM Sunrise Berhad’s objectives.
  • Liaison with Companies Commission of Malaysia (for statutory forms matters), external auditors (for all auditing matters) and other relevant external stakeholders.
  • Sharing knowledge with the team on seminars attended.
  • Maintaining list of compliance timeline and masterlists of companies, directors and corporate structure.

MINIMUM ESSENTIAL QUALIFICATIONS & TECHNICAL COMPETENCES

Formal Education:

Bachelor’s Degree

Specialized in: ICSA and an associate (at least a student) of MAICSA.

Skills / Knowledge / Qualifications:

  • Knowledge of Companies Act 2016 & Listing Requirements of Bursa Malaysia Securities Berhad.
  • Competency in spoken and written English and Bahasa Malaysia.
  • Possess good communication and strong interpersonal skills.
