Job description

Responsibilities:

  1. Draft and prepare company resolutions and circulate for signature
  2. Liaise with finance and external company secretary on resolutions
  3. Board Meetings:
    1. Prepare and circulate Notice of meeting one month prior to meeting
    2. Ensure previous meeting minutes have been approved
    3. Compile information and documents from relevant departments
    4. Circulation of Board papers
    5. Liaise with external company secretary
    6. Attend board meetings
  4. Annual Filing:
    1. Liaise with the external company secretary to prepare AGM and annual returns
    2. Circulate AGM papers for signature
    3. Ensure filing is done timely with SSM
    4. Maintain company records and books
  5. Other responsibilities:
    1. Provide legal advice to various departments within the organization
    2. Ensure strict adherence to all laws, regulations and company policies
    3. Maintain contract listing
    4. Review standard template contracts

Qualifications:

  1. Bachelor’s degree or master's in law (LLB) or equivalent; admitted to the Malaysian Bar
  2. Minimum 5 years of working experience in legal firms or in-house counsel
  3. Strong understanding of corporate governance, ESG, and compliance with relevant regulatory frameworks (experience in these areas will be an advantage)
  4. Ability to present credible legal solutions to internal stakeholders of diverse backgrounds, using strong analytical and problem-solving skills
  5. Strong attention to detail, organizational skills, and ability to manage multiple tasks simultaneously
  6. Commitment to upholding ethical standards and ensuring compliance with legal requirements
  7. Possess initiative, positive attitude and able to work independently
