Job description

We are seeking a proactive, independent Legal Counsel with a strong legal foundation and solid commercial acumen. You will work closely with the Head of Legal to provide clear, practical legal advice across all business units and subsidiaries, ensuring regulatory compliance. The ideal candidate must be capable of working independently and efficiently, possessing a robust legal background combined with strong commercial and business insight.

Job Responsibilities:
  1. Draft, review, and negotiate a wide range of contracts, including Shareholder Agreements, NDAs, Service Agreements, General Terms & Conditions, Merchant Agreements, Mergers and Acquisitions, Sales and Purchase Agreements, Tenancy Agreements, due diligence reports, banking and financial agreements, ensuring timely closure and reporting to the Head of Legal.
  2. Provide legal support and advice for the development, operation, and business activities of the Group of Companies, including monitoring any legal team activities.
  3. Draft and manage complex corporate and commercial agreements and regulatory documents within a fast-paced environment.
  4. Create high-value legal documentation that is clear, unambiguous, concise, and conclusive to prevent misinterpretation.
  5. Identify legal risks and independently address complex corporate and commercial issues with effective alternative strategies.
  6. Conduct legal research and stay updated on relevant laws and regulations affecting the business.
  7. Review contracts and actively support negotiations to minimize risk, in line with company policies and review procedures.
  8. Ensure legal documents reflect business and commercial concerns and comply with legal obligations.
  9. Monitor changes in laws and regulations and adapt accordingly.
  10. Evaluate business exposure to legal risks and implement mitigation measures.
  11. Resolve legacy and liability issues impacting legal standing.
  12. Collaborate with internal and external stakeholders from diverse backgrounds.
  13. Contribute to legal initiatives focused on operational excellence and continuous improvement.
  14. Work independently and collaboratively within virtual teams to provide support and guidance.
  15. Assist with mergers, acquisitions, investments, and strategic transactions, including due diligence, drafting, negotiating, and supporting transaction closures and post-closing integration.
Requirements:
  • LLB, Bar, or CLP qualification. Litigation experience is preferred but not mandatory.
  • At least 5 years of PQE in reputable law firms specializing in commercial disputes and/or corporate law.
  • Familiarity with the National Land Code, Capital Market & Services Act, Companies Act, Financial Services Act, AMLA, and other relevant legislation.
  • Resourceful, self-motivated, and capable of working with minimal supervision.
  • Ability to provide accurate, strategic, and timely legal advice with critical thinking.
  • Excellent command of English and Bahasa Malaysia; proficiency in Chinese is an advantage due to communication with Chinese joint-venture partners.
