Job description

Job Title: Company Secretary

We are seeking a highly qualified and experienced Company Secretary to manage and ensure that the company complies with Malaysian corporate laws and regulations, particularly the Companies Act 2016. This role involves corporate governance, board support, statutory compliance, and liaison with regulatory authorities.

Key Responsibilities:
  1. Ensure the company’s compliance with all legal and regulatory requirements, including local, national, and international regulations as applicable, covering regions such as Malaysia, Singapore, and Hong Kong.
  2. Act as the key liaison between the Board of Directors, management, and external parties on corporate governance matters.
  3. Ensure timely submission of statutory documents to the Companies Commission of Malaysia (SSM).
  4. Maintain statutory registers and documents, including the Articles of Association, resolutions, legal records, register of directors, members, secretaries, etc.
  5. Prepare and file annual returns and audited financial statements; liaise with auditors and tax agents. Maintain company records in accordance with legal requirements.
  6. Monitor changes in relevant legislation and advise the company on necessary actions; advise directors on their duties under Malaysian law.
  7. Organise and attend board, committee, and shareholder meetings; prepare agendas, minutes, notices, proxy forms, and resolutions; ensure timely distribution and follow-up.
  8. Manage and oversee corporate restructuring, mergers, acquisitions, and other legal matters.
  9. Support risk management efforts, including legal risks and compliance.
  10. Serve as contact point for regulatory bodies, external auditors, and legal advisors.
  11. Handle incorporation of new companies and structural changes (e.g., director changes, share capital, registered office).
  12. Provide guidance on good corporate governance practices to the Board and Management.
  13. Perform any other ad-hoc tasks as required by the Board and Management.
Requirements:
  1. Licensed Company Secretary under the Companies Commission of Malaysia (SSM) or member of a prescribed body (e.g., MAICSA, MICPA, MIA, Malaysian Bar).
  2. Bachelor’s Degree in Law, Business Administration, Accounting, or related field.
  3. Proficient in the Companies Act 2016, Bursa Malaysia Listing Requirements, and corporate governance practices.
  4. Minimum of 2 years' experience in secretarial and management consulting roles.
  5. Excellent written and verbal communication skills in English and Bahasa Malaysia; proficiency in spoken Mandarin is an advantage.
  6. High integrity, attention to detail, and organizational skills.
  7. Proficient in Microsoft Office (Excel, Word, PowerPoint) and related platforms such as MYCOID, MYLLP, MBRS, Bursa Link, Bank Negara Malaysia.
  8. Ability to work independently, multitask, work under pressure, and handle confidential information discreetly.
  9. Team player with a positive attitude.
  10. Must be able to travel outstation at short notice and possess own transport.
  11. Able to work in a fast-paced environment and start immediately or within short notice.
  12. Willing to work alternate Saturdays from 8.30 am to 1 pm.

IOG is an oil and gas sales, marketing, and distribution company with a seasoned management team. The company has high growth potential and stability, focusing on expanding throughout Peninsula Malaysia, including other goods and services, with future incorporation of technology. Currently, the focus is on cooking gas sales, marketing, and distribution.

To enhance customer convenience and market penetration, we plan to improve outlet spacing from one hour to every 30 minutes, and eventually every 15 minutes.
