About the job Corporate Secretarial Manager

Position Overview

  • Salary Range: RM 7500 - RM 10,000

Responsibilities:

  • To provide in-house secretarial services in managing and administering secretarial practices and statutory requirements in compliance with Companies Act 2016 and other countries local act for all overseas entities.
  • To exercise comprehensive company secretarial duties and functions for a group of companies.
  • To prepare and attend to various corporate documents, statutory forms, and legal documents.
  • To ensure proper maintenance of statutory records and submission of statutory returns.
  • Oversee the Company's corporate governance framework, ensuring compliance with relevant laws and regulations.
  • Implement corporate governance best practices.
  • Advise the Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
  • To coordinate and support other departments in special assignments and corporate exercises.
  • Deal and liaise with external auditors during audit reviews.
  • Deal and liaise with external company secretaries/lawyers and corporate services providers for overseas legal entities on corporate documents and secretarial matters.
  • Dealing with bankers to discuss and negotiate the Terms and Conditions of the Banking Facilities.
  • Negotiating, drafting, and reviewing trade agreements, agreements of all kinds, and other legal documents.
  • Ensure all agreements and contracts comply with the relevant laws and regulations, including but not limited to international trade laws.
  • Collaborate with internal stakeholders and external partners to facilitate the smooth execution of agreements and contracts.
  • Track and manage the performance of agreements, addressing any issues or disputes that arise.
  • Ensure compliance with the Direct Selling Act and Direct Selling Association Regulations in Malaysia and relevant countries.
  • Attend to other ad-hoc assignments as and when required.

Requirement:

  • Bachelor's Degree or Professional Qualification in Business Administration/Management/Secretarial or equivalent
  • At least 8 years of related working experience in a corporate secretarial role
