Job Description

• 
  
  Drafting, preparing, advising and vetting corporate and commercial agreements / contracts as well as participating in negotiation of contracts and other commercial agreements.
• 
  
  Conduct comprehensive legal due diligence and compiling, preparing and reviewing due diligence reports, and drafting of transaction documents.
• 
  
  Lead and manage M&A transactions, including mergers, acquisitions, joint ventures, and corporate restructuring.
• Draft, review, and negotiate M&A transaction documents, including share purchase agreements, asset purchase agreements, joint venture agreements, and shareholder agreements.
• 
  
  Assisting in research and preparation of legal advice to clients.
• 
  
  Liaise with relevant regulatory bodies and government authorities to ensure compliance with M&A regulations.
• 
  
  Offer strategic guidance on cross-border M&A transactions, navigating the complexities of international legal frameworks.

The Successful Applicant

• A bachelor's degree in Law (LL.B) with excellent academic results from a reputable university and admitted to the Malaysian Bar with 1 to 4 years of Post Qualification Experience (PQE).
  
  
• Experience in corporate commercial with a specialization in Mergers & Acquisitions (M&A).
  
  
• Proven experience in managing and advising on complex M&A transactions, including due diligence, document drafting, and negotiations, with a strong ability to handle cross-border M&A matters and navigate international legal and regulatory issues.
  
  
• Exceptional communication, negotiation, and interpersonal skills, with the ability to manage client relationships and convey complex legal issues in a clear and concise manner.
  
  
• Strong analytical and problem-solving skills with the ability to deliver practical, solution-oriented advice, while managing multiple, complex projects simultaneously.
