Corporate Counsel & Secretarial Manager, CCOB

Assist the Corporate Counsel and Secretarial Lead in rendering legal advisory, corporate secretarial services, regulatory development and related matters - to ensure Consumer Credit Oversight Board Taskforce (CCOB) full compliance with applicable laws, regulations and governance standards.

The role safeguards CCOB’s legal interests, supports sound decision-making and upholds corporate governance practices, while ensuring the effective functioning of the Board and statutory obligations in alignment with the organisation’s regulatory mandate.

Main Accountabilities

• Assist the Corporate Counsel & Secretarial Lead in the development of the best legal solutions and advice on corporate matters and legal issues to ensure CCOB’s interest is always protected.

• Support the Corporate Counsel & Secretarial Lead in proposing strategic legal counsel on litigation and settlements to ensure favourable outcomes that protect CCOB’s reputation and regulatory standing.

• Identify, assess and mitigate legal risks, offering timely and practical legal solutions in support of CCOB’s strategic and operational priorities.

• Review, draft and negotiate contracts, agreements, and legal documents, ensuring compliance with applicable laws and alignment with CCOB’s objectives, while maintaining enforceability and risk mitigation.

• Represent CCOB in meetings and negotiations with numerous parties such as government agencies, counter parties and other related individuals/CCOB.

• Liaise with external legal counsels pertaining to legal issues involving CCOB.

• Conduct legal research to keep abreast with new developments applicable to CCOB.

2. Secretarial

• Act as the liaison between CCOB and the Board, providing secretarial support, facilitating effective governance processes, and ensuring statutory compliance with corporate law and regulatory requirements.

• Oversee the performance of external company secretarial service providers, ensuring timely and accurate planning, documentation, and execution of Board and subcommittee meetings, including preparation and vetting of board papers and meeting minutes.

• Administer the proper record and filing system for easy retrieval to ensure confidentiality and safe custody of CCOB’s legal and statutory documents (e.g., board papers, and minutes of meeting, etc.).

• Work within consistent management practices by fostering an environment of collaboration, efficiency and synergy to ensure effective and cohesive operations.

• Foster a culture of compliance, collaboration and governance excellence across the organisation by promoting adherence to legal best practices and corporate governance frameworks.

3. Others

• Be part of any projects undertaken by CCOB, where relevant.

• Perform any other related duties as may be assigned from time to time.

Education

• Bachelor’s degree in Law

• Possess Company Secretarial License

Experience

• Preferably 8 years of experience in a similar size organisation and/or similar industry

• At least 2 years of experience as a Company Secretary

• Called to the Bar

• Good analytical and drafting skills

• Creative problem-solving skills

• Ability to meet deadlines, work independently, and carry out assignments to completion within parameters of instructions given

• Experience in government and regulatory procedures are preferred

• Excellent command of spoken and written English and Bahasa Melayu
