SUMMARY
- The ideal candidate will provide legal advice and work on business mergers and acquisitions (M&A), initial public offerings (IPOs), corporate restructuring, corporate finance, due diligence, and commercial matters.
- The role requires a strong understanding of Malaysia’s corporate and commercial laws, regulations, and securities compliance to support the organization’s strategic business transactions.
JOB RESPONSIBILITIES
- Provide legal advisory services on corporate transactions, including M&As, IPOs, and corporate restructuring.
- Draft, review, and negotiate share sale agreements, shareholder agreements, prospectuses, and corporate documentation; conduct relevant due diligence.
- Ensure compliance with Malaysia’s legal framework, including the Companies Act 2016, Capital Markets & Services Act 2007, SC Guidelines, and Bursa Malaysia listing requirements.
- Liaise with Securities Commission Malaysia (SC), Bursa Malaysia, Bank Negara Malaysia (BNM), and other regulatory bodies for legal approvals and compliance matters.
- Handle risk management by identifying potential legal risks and recommending mitigation strategies.
JOB REQUIREMENTS
- Bachelor of Laws (LLB) from a recognized university.
- A Master of Laws (LL.M) is an added advantage.
- Admitted to the Malaysian Bar as an Advocate & Solicitor.
- Minimum of 6 years experience in corporate laws as described above.
- Strong understanding of Malaysia’s corporate legal framework and international business regulations.
- Proven experience handling large-scale M&As, IPOs, and corporate restructuring.
- Excellent drafting and negotiation skills.
- Strong analytical and problem-solving abilities.
- Ability to work under pressure and meet tight deadlines.
- Excellent communication and stakeholder management skills.
