Job Description:
Corporate Associate: Draft, review, and negotiate a variety of commercial contracts including joint ventures and shareholders agreements.
Advise clients on corporate structuring, governance, mergers & acquisitions (M&A), and compliance with Malaysian laws.
Conduct due diligence for M&A transactions and corporate restructuring.
Assist in the preparation of legal opinions, memos, and reports on corporate and regulatory matters.
Liaise with government authorities, regulatory bodies, and external counsel on legal matters.
Keep abreast of legal developments, particularly in areas of corporate and commercial law.
IP Paralegal: Assist with preparation, filing, and prosecution of trademark, patent, and industrial design applications in Malaysia and abroad.
Manage IP portfolios for clients, including renewals, assignments, recordals, and watch notices.
Conduct trademark clearance searches and generate reports.
Draft and prepare correspondence with clients, IP offices, and foreign agents.
Assist lawyers with IP litigation, enforcement matters, and domain name disputes.
Monitor deadlines and manage docketing systems to ensure timely filings and renewals.
Perform administrative tasks such as invoicing, file maintenance, and billing.
Qualifications and Requirements:
(Corporate Associate)
Minimum of 2 years of post-qualified experience (PQE).
Ability to work under pressure with tight deadlines.
A team player with a proactive and client-focused approach.
Fluency in English and Bahasa Malaysia is required; proficiency in other languages will be an advantage.
Strong knowledge of Malaysian corporate law, M&A, contract law, and regulatory frameworks.
(IP Paralegal)
Minimum 2-3 years PQE as an IP Paralegal or Legal Executive in a law firm or IP agency.
Familiarity with MyIPO procedures and international IP systems (e.g. WIPO, Madrid Protocol).
Strong command of English (spoken and written); proficiency in Bahasa Malaysia is an asset.
High attention to detail and ability to handle multiple tasks under deadlines.
