Job description

Purpose of the position:

  • Drafting, reviewing, and negotiating various contracts (e.g. customer contracts, vendor contracts).
  • Manage onboarding of new customers and vendors including conducting KYC and sanction searches and reviewing results.
  • Manage corporate secretarial matters (e.g. drafting of board resolutions, manage regulatory filings)
  • Filing and organizing legal documents.

Responsibilities:

Drafting, reviewing, and negotiating various contracts

  • Be familiar with basic contract law positions and requirements in South-East Asia.
  • Understand the company’s contracting policies and draft/review/negotiate contracts accordingly.
  • Update contract templates where necessary (e.g. to account for new regulations).

Manage onboarding of new customers and vendors

  • First cut review of onboarding documentation submitted by counterparties.
  • Manage onboarding of new customers and vendors.
  • Review results and escalating or requesting for additional information where necessary.
  • Preparing KYC/Due Diligence reports for internal records.
  • Keep up-to-date with applicable sanctions and ensure company’s dealings with customer and vendors comply with applicable sanctions.

Manage corporate secretarial matters

  • Draft board resolutions.
  • Keep track of, and comply with, regulatory filing requirements.
  • Keep up-to-date internal records.

Filing and organizing legal documents

  • Ensuring files obtained from websites and counterparties are renamed in line with internal convention to ensure easy retrieval.
  • Organizing of folders and filing of documents to ensure easy retrieval.

Learning Opportunities:

  • Develop strong contract review, sanctions, and compliance skillsets.

Requirements:

  • Degree in Law.
  • 4-5 years working experience in the legal industry.
  • Experience working in the corporate department of a law firm, or has experience reviewing contracts in an in-house legal capacity.
  • Fluent in both spoken and written English.
  • Meticulous and extremely organized.
  • Willing to learn.

Preferred:

  • Fluent in a second South-East Asian language (e.g. Bahasa, Chinese, Thai etc...)
  • A team player with initiative and good interpersonal skills.
  • Time management skill.
  • Able to work and learn independently.
