Principal Duties and Responsibilities:
- Corporate Secretarial Functions:
- Coordinate and facilitate Board, AGM, and Audit Committee meetings, including scheduling, agenda preparation, and follow-up actions.
- Act as liaison with respective persons-in-charge (PICs) for the timely compilation and circulation of meeting papers and board materials.
- Assist in drafting and reviewing minutes, resolutions, statutory forms, and corporate governance documents.
- Maintain statutory records and ensure all corporate filings comply with the Companies Act 2016 and other applicable regulations.
- Liaise with external company secretaries, regulatory authorities, and relevant stakeholders for statutory filings and corporate governance compliance.
- Ensure timely preparation and lodgment of statutory forms and returns with the Companies Commission of Malaysia (SSM) and other relevant authorities.
- Monitor corporate governance and regulatory developments to ensure compliance with best practices.
- Legal and Administrative Support:
- Provide comprehensive secretarial and administrative support to the General Counsel.
- Manage the legal team’s documents, contracts, and administrative needs.
- Organize, store, and retrieve corporate and legal documents securely.
- Assist in the development, maintenance, and administration of the contract database, ensuring accuracy and timely updates.
- Track and monitor contract execution, renewals, and compliance obligations.
- Ensure timely stamping of legal documents in compliance with applicable laws.
- Support budget tracking and expense management for the legal department.
- Plan and coordinate travel and logistical arrangements for legal and corporate secretarial functions.
- Assist with a variety of special projects as assigned
Qualifications & Skills:
- Minimum Bachelor’s degree in Law, Business Administration, or a related field.
- Professional Certification: Preferably an Associate Member (MAICSA) or Licensed Company Secretary recognized by the Companies Commission of Malaysia (SSM).
- At least 3–5 years of experience in corporate secretarial functions within a public or private company.
- Strong knowledge of the Companies Act 2016, corporate governance best practices, and regulatory compliance.
- Demonstrated experience in conducting secretarial tasks and providing administrative support.
- High proficiency in English and Bahasa Malaysia, both written and spoken.
- Strong organizational, communication, and multitasking skills with attention to detail.
- Advanced proficiency in Microsoft Office (Excel, Word, PowerPoint, Outlook) for scheduling, documentation, and planning.
