About This Role

Associate Legal Counsel

The Legal function at CAE is a strategic partner to the business and plays a critical role in providing sound and practical legal advice to management and stakeholders across the organization. We are looking for a motivated and capable regional Associate Legal Counsel to join the Legal team and support our Civil Aviation business in the region. Reporting directly to the Director Legal, Civil - APAC, you will be primarily responsible for legal entity management across 11 markets in which CAE’s Civil Aviation business operates in APAC and will advise on a range of commercial contracts.

The role:

  • APAC Legal Entity Management
    • Maintain corporate housekeeping for all legal entities (including joint ventures) in the region for CAE’s Civil Aviation business, in collaboration with CAE’s panel of corporate secretarial firms, to ensure timely and accurate corporate filings.
    • Assist in the preparation and review of board and shareholder resolutions, notices, minutes of meetings and powers of attorney.
    • Support the incorporation, restructuring, and dissolution of legal entities in the region as required.
    • Monitor changes in local corporate governance laws and regulations in the region and ensure compliance.
    • Maintain a centralized database of corporate documents and ensure proper document retention and version control.
  • Commercial Contracts
    • Draft, review, and negotiate a broad range of commercial agreements including NDAs, training services agreements, procurement and vendor contracts, etc.
    • Provide legal advice to the business on contractual risks, obligations, and compliance requirements; this includes conducting legal research on relevant laws, understanding risks arising and devising mitigation strategies to help the business manage accordingly.
    • Support the development and maintenance of contract templates and playbooks to streamline contract processes.
  • Support the Director Legal, Civil - APAC on M&A and other corporate transactions/projects in the region, as and when required.
  • Collaborate with and contribute towards various projects of the global Legal team.

Our ideal candidate has:

  • A law degree from an accredited law school and licensed to practice law in good standing in at least one common law jurisdiction.
  • At least 2-3 years of post-qualified experience in an established law firm or as in-house counsel in an international organization.
  • High attention to detail and strong organizational skills.
  • Ability to manage multiple tasks and deadlines across different time zones.
  • Proactive, resourceful, and eager to learn.
  • A team player, creative thinker, solution-orientated individual, curious about the business and who enjoys working in an inclusive and diverse environment.
