Job description

Our client is a multinational company with a strong global footprint, is looking for an Associate Legal Counsel. This position reports directly to the Director Legal, APAC. The successful candidate will be primarily responsible for legal entity management across 11 markets in the region and will provide legal support on a wide range of commercial contracts.

Responsibilities

Key Responsibilities

APAC Legal Entity Management

1) Maintain corporate housekeeping for all legal entities (including joint ventures) in the region, in collaboration with the company's panel of corporate secretarial firms, to ensure timely and accurate corporate filings.
2) Assist in the preparation and review of board and shareholder resolutions, notices, minutes of meetings, and powers of attorney.
3) Support the incorporation, restructuring, and dissolution of legal entities in the region as required.
4) Monitor changes in local corporate governance laws and regulations and ensure compliance.
5) Maintain a centralized database of corporate documents and ensure proper document retention and version control.


Commercial Contracts
1) Draft, review, and negotiate a wide range of commercial agreements including NDAs, training services agreements, procurement and vendor contracts, etc.
2) Provide legal advice to the business on contractual risks, obligations, and compliance requirements; this includes conducting legal research, identifying risks, and developing mitigation strategies.
3) Support the development and maintenance of contract templates and playbooks to streamline contract processes.
4) Assist the Director Legal, APAC, on M&A and other corporate transactions/projects in the region, as needed.
5) Collaborate with and contribute to various projects of the global legal team.


Requirements

Key Requirements

1)A law degree from an accredited law school and is licensed to practise in good standing in at least one common law jurisdiction.
2) 2-3 years of post-qualified experience in an established law firm or as in-house counsel in an international organization.
3)Strong attention to detail and excellent organizational skills.
4)The ability to manage multiple tasks and deadlines across different time zones.
5)A proactive, resourceful attitude with a willingness to learn.
6)A collaborative, solution-oriented mindset with a keen interest in the business and a preference for working in an inclusive, diverse environment.
