Here's How You Will Add Value:
Legal Advisory, Documentation & Litigation
- Draft, review, and provide legal advice on a wide range of agreements, including customer, supplier, and business partner contracts, as well as non-disclosure agreements (NDAs).
- Review and advise on documentation related to due diligence, share sale and purchase agreements, shareholder agreements, mergers and acquisitions, and financing arrangements.
- Deliver sound legal opinions that consider commercial and legal implications, supporting negotiations and transactions.
- Provide legal oversight and strategic direction on potential and ongoing litigation and dispute matters.
- Liaise with and manage external counsel in litigation, arbitration, and other dispute resolution processes.
- Prepare internal reports and correspondence related to litigation and ensure the business is well-informed of legal developments.
- Exercise sound legal judgment when advising internal stakeholders, balancing legal risks and business needs.
Regulatory Compliance
- Provide legal advice on compliance with applicable legislation and regulatory frameworks, including the Credit Reporting Agencies Act 2010 (CRAA), Personal Data Protection Act 2010 (PDPA), Financial Services Act, Islamic Financial Services Act, BNM Policies and Guidelines, the Companies Act, and Bursa Malaysia Listing Requirements.
- Draft, review, and ensure accuracy of regulatory correspondence, presenting well-supported legal positions.
- Support the regulatory and compliance team on legal issues and assist with regulator engagements, including those with the CRA Registrar, BNM, PDPA Commissioner, Bursa Malaysia, Securities Commission, and PDRM.
- Build and maintain strong working relationships with regulatory bodies and represent the company in regulatory discussions or negotiations as required.
Litigation, Risk & Dispute Management
- Provide strategic and proactive legal support in managing litigation, disputes, and enforcement actions.
- Oversee litigation matters from initiation through resolution, including instructing external counsel and monitoring case progress.
- Identify and mitigate legal risks across the organization, aligning legal strategies with business objectives.
- Offer pragmatic legal solutions and risk-mitigation strategies to support decision-making and business continuity.
Stakeholder Engagement & Collaboration
- Partner with cross-functional teams and business units to identify, assess, and address legal concerns early in the process.
- Provide clear and commercially focused legal advice to business heads and senior leadership.
- Represent the Legal function in interdepartmental initiatives, ensuring alignment of legal requirements with operational goals.
What you'll need to succeed:
Qualifications
- Bachelor’s or Master’s degree in Law or a related field.
- Admission to the Bar or equivalent legal qualification.
Work Experience
- Minimum of 5 years of combined experience in corporate and litigation practice, preferably within the financial industry, publicly listed companies (PLC), MNCs, GLCs, or GLICs.
- Experience working in an in-house legal department or corporate legal division of a law firm.
Skills & Competencies
- In-depth knowledge of corporate, commercial, and regulatory legal frameworks.
- Experience with legislation relevant to the business (e.g., CRAA, PDPA, BNM regulations).
- Strong understanding of legal risk management, litigation strategy, and dispute resolution.
- Proficient in drafting and reviewing a wide range of legal documents.
- Strong communication and negotiation skills, with the ability to influence stakeholders at all levels.
- High level of professionalism, discretion, and integrity in managing confidential information.
- Ability to work effectively under pressure and manage competing priorities.
- Excellent command of written and spoken English and Bahasa Malaysia; proficiency in additional languages is an advantage.
- Willingness to travel for regulatory or business meetings when required.
