The position is based in our KL Office in Malaysia.

Job Purpose

To carry out Company Secretarial duties effectively as directed by the Company Secretary.

Key Responsibilities

  1. Supervise the team to handle full spectrum of company secretarial matters independently for a portfolio of clients (including listed /private companies).
  2. Provide effective support to the department on the arrangement of Board, Board Committees, and shareholder meetings, and all secretarial related matters in accordance with applicable rules and regulations, including preparing meeting documents.
  3. Offer advice and guidance on secretarial practice and compliance to Board Members, colleagues, and relevant parties whenever required.
  4. Draft and submit announcements to Bursa Malaysia (e.g., Change of Shareholdings, Share buy back, Entitlement date, AGM/EGM notice and outcome, general announcement on members' voluntary winding up, etc.), circulars, etc.
  5. Prepare and review resolutions and documents for lodgment at relevant authorities, ensuring compliance with submission deadlines.
  6. Liaise and coordinate with internal and external parties, including solicitors and regulatory bodies.
  7. Maintain secretarial and statutory records; perform regular reviews of the companies' information database and filing system.
  8. Ensure all statutory rules and regulatory requirements are met.
  9. Handle ad hoc assignments as required.
