Role Summary
The incumbent shall be responsible for:
- In-house drafting of all transactional documents such as joint development agreements, share purchase agreements, shareholder agreements, LLP agreements, development agreements, agreements to sell, sale deeds, lease deeds, powers of attorney, and related contracts.
- Title due diligence of land and timely risk identification.
- In-house drafting of legal notices and pleadings related to disputes/litigations.
- Conformance with all legal requirements related to contracts.
- Provision of timely and accurate legal opinions as required by the company.
Key Responsibilities
- Conduct detailed due diligence on land records (title, deeds, case analysis) as per the due diligence checklist before meetings with JV partners.
- Assist business development during negotiations with JV partners and their legal counsel on commercial terms.
- Advise on the legal structure of the deal and support finalization for execution.
- Maintain comprehensive documentation of land records and related transactions.
- Draft and follow up on all legal agreements, including development agreements, term sheets, and share purchase agreements.
- Prepare customer agreements for new projects, including allotment letters, sale agreements, possession letters, payment schedules, and notices.
- Facilitate stamp duty and registration processes for legal documents.
- Provide required documents to customers during housing loan filing or property transfer.
- Advise customers on stamp duty and related regulations.
- Examine contracts drafted by the Contracts team to provide legal controls and checkpoints.
- Generate a knowledge repository for updates on laws, regulations, ordinances, and by-laws related to real‑estate industry.
- Comply with company guidelines and processes and adhere to project timelines.
- Identify and recommend process improvements to streamline efficiency and productivity.
- Identify self‑development needs and take concrete steps to pursue training, education, and projects.
Qualifications & Experience
- Education: LLB (Bachelor of Law).
- Experience: 12‑15 years of relevant post‑qualification experience, preferably from a law firm or the real‑estate industry.
- Strong knowledge of Maharashtra land laws, RERA regulations, and real‑estate non‑litigation matters.
- Expertise in legal document drafting and contract management.
- Effective negotiation and communication skills.
