About QODE

QODE is a quantitative investment management and financial services firm focused on research-driven investment strategies, portfolio management and long-term wealth creation. The firm serves high-net-worth individuals, family offices and other investors through investment management solutions.

As QODE expands its investment management platform across multiple fund structures and regulated activities, building a robust, scalable and well-integrated compliance framework is a key priority.

Role Overview

We are looking for a Senior Associate - Regulatory Compliance with a strong understanding of the Indian securities market regulatory framework and hands‑on experience working with SEBI‑registered intermediaries.

The ideal candidate will have experience across multiple regulatory frameworks, including Portfolio Management Services (PMS), Alternative Investment Funds (AIFs), Investment Advisers (IAs) and Research Analysts (RAs).

A key responsibility of this role will be to develop, implement and maintain regulatory policies, procedures and internal control frameworks applicable to QODE's various registrations and business activities. The candidate should be capable of identifying applicable regulatory requirements, drafting policies from the ground up, coordinating their approval and implementation, and ensuring that they remain current as regulations and business activities evolve.

In addition to policy development, the role will involve regulatory interpretation, compliance monitoring, statutory filings, investor due diligence, audit coordination and ongoing regulatory risk management.

We are looking for someone who combines regulatory knowledge with strong execution capabilities, independent ownership and sound judgement, and who can contribute to building a comprehensive compliance framework as the business grows.

Key Responsibilities
1. Regulatory Compliance Across Multiple SEBI Registrations
  • Manage and monitor applicable regulatory compliance requirements across PMS, AIF, Investment Adviser and Research Analyst businesses.
  • Maintain compliance calendars covering periodic filings, event-based disclosures, regulatory submissions and other applicable obligations.
  • Monitor SEBI regulations, circulars, guidelines, master circulars and other relevant regulatory developments.
  • Interpret regulatory changes, assess their applicability and coordinate implementation across the relevant entities and business functions.
  • Identify compliance gaps, assess regulatory risks and recommend corrective actions.
  • Maintain comprehensive compliance registers, regulatory records and supporting documentation.
  • Ensure that business activities remain within the scope of the relevant registrations and applicable regulatory permissions.
2. Regulatory Policy Development and Implementation
  • Identify the policies, manuals, standard operating procedures (SOPs) and internal control frameworks required under the regulatory frameworks applicable to each registration.
  • Map applicable regulatory requirements to the policies, procedures, disclosures and controls that need to be established and maintained.
  • Draft, review and implement regulatory policies from the ground up, ensuring that they reflect applicable regulations, QODE's business activities and actual operating processes.
  • Develop and maintain registration‑specific policies for PMS, AIF, Investment Adviser and Research Analyst activities, as applicable.
  • Identify policies and controls that can be standardised across the group while maintaining appropriate differentiation for individual entities, registrations and fund structures.
  • Coordinate with Investment, Research, Operations, Finance, Investor Relations and senior management to ensure that policies are practical and effectively implemented.
  • Coordinate policy review, approval and adoption by the appropriate designated authority, board, partners or committee, wherever applicable.
  • Translate approved policies into operational procedures, checklists, compliance controls and employee guidance.
  • Establish a systematic process for periodic policy reviews and updates following regulatory amendments, audit observations, changes in business activities or the introduction of new registrations.
  • Maintain a central repository of policies, including version control, approval records, review dates and implementation evidence.
  • Conduct periodic assessments to verify adherence to approved policies, identify deviations and track corrective actions through closure.
  • Coordinate with external legal advisers and regulatory consultants where specialist interpretation or review is required.
3. PMS Compliance
  • Manage day‑to‑day compliance requirements applicable to Portfolio Management Services.
  • Review client onboarding documentation, portfolio management agreements, investment mandates, disclosures and client communications.
  • Monitor applicable investment restrictions, portfolio‑related disclosures, investor reporting and record‑keeping requirements.
  • Coordinate regulatory filings, periodic reporting and other applicable submissions.
  • Review relevant operational processes, including investor onboarding, execution, allocation and portfolio reporting, from a compliance perspective.
  • Identify potential regulatory breaches and coordinate corrective action and escalation.
4. AIF and Fund Structure Compliance
  • Manage applicable compliance requirements for Alternative Investment Funds and associated fund management structures.
  • Support regulatory applications, registration processes and operational readiness for new AIFs and other fund structures, as required.
  • Review Private Placement Memorandums (PPMs), contribution agreements, investor disclosures, fund policies and other relevant documentation.
  • Monitor applicable investment restrictions, concentration limits, investor eligibility requirements and fund‑level disclosure obligations.
  • Coordinate with trustees, custodians, fund administrators, auditors, legal advisers and other service providers.
  • Manage applicable fund‑level filings, reporting, documentation and compliance records.
  • Support compliance reviews of fund transactions, investment activities and investor communications.
5. Investment Adviser and Research Analyst Compliance
  • Manage applicable compliance requirements relating to Investment Adviser and Research Analyst registrations.
  • Monitor compliance with requirements governing advisory activities, research publications, recommendations, disclosures and investor communications.
  • Review relevant client agreements, engagement documents, research reports and disclosures from a regulatory perspective.
  • Support implementation of applicable policies relating to conflicts of interest, independence of research, segregation of activities and other relevant controls.
  • Monitor applicable requirements concerning client onboarding, suitability, risk profiling, fees, grievances and record maintenance, as relevant to the registration.

  • Maintain appropriate records of due diligence activities and compliance checks.
  • Escalate suspicious transactions, potential red flags and other concerns in accordance with applicable requirements and established procedures.
8. Compliance Monitoring, Audits and Internal Controls
  • Develop and execute periodic compliance monitoring plans across relevant business activities.
  • Conduct reviews of transactions, investor documentation, disclosures, regulatory filings and operational processes, as appropriate.
  • Assess the effectiveness of internal controls and adherence to approved policies and SOPs.
  • Coordinate internal audits, external compliance audits, regulatory inspections and information requests.
  • Track audit observations, compliance exceptions and corrective action plans through closure.
  • Identify recurring issues and recommend improvements to strengthen compliance processes and reduce regulatory risk.
  • Escalate material breaches, unresolved issues and significant compliance risks to the designated Compliance Officer and senior management.
9. Governance and Stakeholder Management
  • Coordinate with Investment, Research, Operations, Finance, Investor Relations and other relevant teams on regulatory matters.
  • Prepare compliance reports, exception summaries and regulatory updates for senior management.
