Job summary

Weekday AI (YC W21) is seeking a Senior Associate in the Projects Team in New Delhi/ NCR region to advise on project finance transactions and support execution of infrastructure and development projects. Qualifications

• 4–6 years of project finance experience.
• Qualified Advocate enrolled with the relevant Bar Council.
• Experience with leading law firms in Projects / Project Finance preferred.
• Experience with lender- and/or borrower-side project finance transactions is a plus.
• Strong drafting, negotiation, and regulatory awareness.

Responsibilities

• Advise lenders, borrowers, developers, and investors on project finance.
• Draft and review financing documents including facility and security agreements.
• Conduct due diligence for project finance and infrastructure deals.
• Advise on structuring, financing arrangements, and risk allocation.
• Review project, EPC, O&M, and offtake agreements from a financing angle.
• Coordinate with internal teams and external stakeholders for closing.
• Identify legal, regulatory, and commercial risks; offer solutions.
• Lead transaction workstreams and ensure timely deliverables.
• Mentor junior associates and support their development.
• Assist partners with opinions, summaries, and client communications.
• Stay updated on regulatory developments affecting project finance.

As a Senior Associate in the Projects Team, you will be responsible for advising clients on project finance transactions and supporting the execution of complex infrastructure and development projects. You will work on the structuring, negotiation, documentation, and closing of financing transactions across sectors such as infrastructure, energy, renewable energy, transportation, and other project-driven industries.

The role requires strong legal drafting and negotiation skills, commercial awareness, attention to detail, and the ability to manage transactions from inception through closing.

Key Responsibilities

• Advise lenders, borrowers, sponsors, developers, investors, and other stakeholders on project finance transactions.
• Draft, review, negotiate, and finalize financing and transaction documents, including facility agreements, security documents, direct agreements, guarantees, undertakings, and related documentation.
• Conduct legal due diligence for project finance and infrastructure transactions.
• Advise clients on transaction structuring, financing arrangements, security creation, regulatory considerations, and risk allocation.
• Review project agreements, concession agreements, EPC contracts, O&M agreements, offtake agreements, and other material project documents from a financing perspective.
• Coordinate with internal teams, clients, financial institutions, consultants, and external stakeholders to ensure smooth transaction execution.
• Identify and analyse legal, regulatory, contractual, and commercial risks and provide practical solutions.
• Lead transaction workstreams and ensure timely completion of deliverables and closing requirements.
• Mentor and supervise junior associates and support their development.
• Assist partners in preparing legal opinions, transaction summaries, presentations, and client communications.
• Stay updated on relevant regulatory and legal developments affecting project finance and infrastructure transactions.

• Strong exposure to lender-side and/or borrower-side project finance transactions will be an advantage.
