Job summary

Weekday AI (YC W21) seeks a Senior Associate in the Projects Team to advise on project finance transactions and support complex infrastructure project closings.

You will draft and negotiate facility and security documents, conduct due diligence, and coordinate with lenders, developers, and clients to ensure successful closings. Strong drafting, negotiation, and regulatory knowledge are essential.

Responsibilities

• Advise lenders, borrowers, sponsors, developers, investors, and stakeholders on project finance transactions.
• Draft, review, negotiate, and finalize financing documents including facility and security agreements.
• Conduct legal due diligence for project finance and infrastructure transactions.
• Advise on transaction structuring, financing arrangements, security creation, and regulatory considerations.
• Review project agreements from a financing perspective including EPC, O&M, and offtake agreements.
• Coordinate with internal teams, clients, financial institutions, and external stakeholders for closing.
• Identify legal and regulatory risks and provide practical solutions.
• Lead transaction workstreams and ensure timely completion of deliverables and closing.
• Mentor junior associates and support development.
• Assist partners in preparing opinions, summaries, and client communications.
• Stay updated on regulatory developments affecting project finance

As a Senior Associate in the Projects Team, you will be responsible for advising clients on project finance transactions and supporting the execution of complex infrastructure and development projects. You will work on the structuring, negotiation, documentation, and closing of financing transactions across sectors such as infrastructure, energy, renewable energy, transportation, and other project-driven industries.

The role requires strong legal drafting and negotiation skills, commercial awareness, attention to detail, and the ability to manage transactions from inception through closing.

Key Responsibilities

• Advise lenders, borrowers, sponsors, developers, investors, and other stakeholders on project finance transactions.
• Draft, review, negotiate, and finalize financing and transaction documents, including facility agreements, security documents, direct agreements, guarantees, undertakings, and related documentation.
• Conduct legal due diligence for project finance and infrastructure transactions.
• Advise clients on transaction structuring, financing arrangements, security creation, regulatory considerations, and risk allocation.
• Review project agreements, concession agreements, EPC contracts, O&M agreements, offtake agreements, and other material project documents from a financing perspective.
• Coordinate with internal teams, clients, financial institutions, consultants, and external stakeholders to ensure smooth transaction execution.
• Identify and analyse legal, regulatory, contractual, and commercial risks and provide practical solutions.
• Lead transaction workstreams and ensure timely completion of deliverables and closing requirements.
• Mentor and supervise junior associates and support their development.
• Assist partners in preparing legal opinions, transaction summaries, presentations, and client communications.
• Stay updated on relevant regulatory and legal developments affecting project finance and infrastructure transactions.

• Prior experience with a leading law firm, particularly in Projects / Project Finance, is preferred.
• Strong exposure to lender-side and/or borrower-side project finance transactions will be an advantage.

Requirements:
