Job summary

Progress, Nasdaq: PRGS, is seeking a Product Counsel to join our global legal team and advise on product design, development and release, marketing, data protection, security and compliance. You will partner with product management, engineering, design and business units to ensure products meet regulatory requirements across jurisdictions.

You will draft and negotiate technology development and licensing agreements, review advertising materials, support sales, and provide ongoing legal counsel

Qualifications

• Law degree is required.
• Minimum of 5 years of relevant in-house experience as a product counsel, preferably in technology, software, SaaS or cloud offerings.
• Experience with intellectual property, licensing, privacy and trade compliance in tech.
• Ability to communicate with product teams and understand technology architectures.
• HIPAA experience is highly desired.

Responsibilities

• Partner closely with product management, engineering, design, product marketing, support, operations and compliance teams and provide counsel on complex regulatory issues in cloud services.
• Advise on requirements affecting all stages of a product life cycle including design, development, marketing, launch and distribution.
• Support sales cycles including drafting and negotiating customer/partner/vendor agreements.
• Serve as a liaison for IP, privacy, security and trade compliance.
• Ensure compliance with U.S. and international laws and company policies.
• Draft and negotiate technology development, licensing and other commercial agreements.
• Review advertising and marketing materials including press releases and promotions.
• Conduct training for the legal team and internal teams.

We are looking for a qualified and experienced Product Counsel to join our legal team and provide advice and support to our management and internal clients on various product related areas including product design, development and release, marketing, data protection, security and compliance. You will be working closely with our product management, engineering, design, product marketing, support, operations, compliance and business line executives. This role requires a business-minded in-house lawyer who will partner with multiple innovative product teams around the world to ensure that the company's products and services are structured to achieve the business strategy while complying with applicable regulations in multiple jurisdictions.

In this role you will:

• Partner closely with product management, engineering, design, product marketing, support, operations and compliance teams and provide counsel and advise on a wide variety of complex and developing legal, regulatory and compliance issues in connection with the delivery of cloud services.
• Advise on requirements affecting all stages of a product's life cycle, including design, development, marketing, public relations, product launch and distribution, and related product regulatory concerns.
• Support sales cycle, including developing and managing options for company agreements (including with customers, partners and vendors), answering questions, providing documentation, facilitating sales execution and negotiating agreements alongside commercial counsel.
• Serve as a liaison and issuer spotter for other legal team members in a matrixed organization with product teams, including in the areas of intellectual property, privacy, security and trade compliance.
• Ensure compliance with U.S. and international laws and regulations and company policy dealing with intellectual property, privacy, security, trade compliance and other applicable laws.
• Analyze, structure, draft, and negotiate technology development, licensing, and other commercial agreements and provide ongoing legal counseling in the areas of intellectual property, technology, and licensing.
• Review, draft and advise on advertising and marketing materials, including press releases, packaging, product launch collateral, sweepstakes, promotions, and other related items.
• Conduct training for the legal team as well as internal teams.

Your background:

• Law degree is required
• Minimum of 5 years of relevant in-house experience as a product counsel, preferably in the technology industry, with a focus on software, SaaS and cloud offerings.
• Significant experience with intellectual property, licensing, privacy and trade compliance in the technology sector.
• Ability to communicate effectively with product managers and engineers and apply legal principles based on understanding of technology architectures and principles.
• Able to multi-task, work independently in a fast-paced environment and to interface with internal departments and all levels of management.
• Maintain current understanding of best practices related to legal issues in product development and marketing for technology companies.
• Experience with HIPAA compliance is highly desired;
• Strong drafting and negotiation skills.
