We are seeking a qualified member of the Institute of Company Secretaries of India (ICSI), with 18-20 years of experience, to lead the Corporate Secretarial team within the GDN Legal Group. Reporting to the Managing Director, Legal, the role involves ensuring compliance with corporate law, FEMA, and related legal matters, supporting various internal stakeholders across functions.

Roles & Responsibilities:

  • Lead corporate law compliance, mergers, and corporate actions, including FEMA compliance.
  • Provide legal advice on governance matters, ensuring adherence to high standards of corporate governance.
  • Assess legal and regulatory changes impacting the company.
  • Liaise with external legal counsel and regulatory advisors.
  • Manage compliance risks and improve processes and systems.
  • Collaborate with finance, audit, tax, HR, and legal teams on governance and compliance matters.
  • Support due diligence and structuring for acquisitions.
  • Rectify FEMA non-compliance issues related to share transfers and allotments to non-residents.
  • Ensure compliance with statutory meeting requirements and internal policies.
  • Guide drafting of reports, agreements, and filings with MCA/RBI.
  • Conduct secretarial audits as per standards and timelines.
