About the Role
We are seeking a diligent and proactive Semi-Qualified Executive to join our secretarial team. The ideal candidate will have completed a significant portion of the Company Secretary (CS) qualification and possess a foundational understanding of corporate laws and secretarial practices with adequate experience. This role offers exposure to advanced assignments and hands-on involvement in diverse corporate compliance and governance matters.
Key Responsibilities
- Compliance and Regulatory Filings
- Prepare and file statutory forms, returns, and other documents with regulatory authorities, including the Ministry of Corporate Affairs (MCA), Registrar of Companies (RoC), SEBI, and RBI.
- Ensure timely and accurate filings in compliance with the Companies Act, 2013, FEMA, and other applicable regulations.
- Board and Shareholder Meetings
- Draft notices, agendas, resolutions, and minutes for Board Meetings, General Meetings, and Committee Meetings.
- Coordinate meeting schedules, logistics, and material distribution.
- Statutory Records Maintenance
- Update and maintain statutory registers, records, and minute books as required under the Companies Act, 2013.
- Conduct regular compliance checks and audits to ensure statutory documentation is up-to-date
- Corporate Actions
- Assist in activities related to corporate restructuring, mergers, acquisitions, investment transactions, acquisition, share transfers, and capital-related transactions.
- o Prepare documentation and ensure compliance for issue of shares, rights issues, and other related corporate actions
- Regulatory Correspondence and Compliance Monitoring
- Handle queries and correspondences with regulatory authorities such as MCA, RoC, SEBI, and RBI.
- Monitor compliance requirements for listed entities (if applicable) and ensure adherence to SEBI regulations
- Advisory and Research
- Conduct legal and regulatory research to provide insights on company law, corporate governance, and secretarial standards.
- o Support in preparing advisory notes, compliance checklists, and standard operating procedures (SOPs)
- Team Collaboration and Support
- Work closely with senior professionals and provide assistance in executing assignments.
- Train and guide junior team members or trainees, if required
Qualifications and Skills
- Partly qualified Company Secretary (CS) with completion of CS Executive level or higher.
- 1-3 years of relevant work experience in a corporate secretarial role.
- Strong knowledge of the Companies Act, 2013, SEBI regulations, and other applicable laws.
- Excellent written and verbal communication skills.
- Ability to handle confidential information with integrity and professionalism.
- Strong organizational skills and the ability to manage multiple priorities.
