About the role

You will be responsible for ensuring that the Bank remains compliant with SEBI (LODR), 2015, Companies Act, 2013, Secretarial Standards and such other regulations as may be applicable to Secretarial Group in its activities. This role would include activities in the areas of Board/Board Committees/Management Committees/unlisted subsidiaries/General Meetings, and you shall be responsible for handling one or more responsibilities assigned to you as and when required. You shall be required to assist the Company Secretary and the Secretarial team in performing the activities under its purview efficiently.

Key Responsibilities

Preparation of Documents: Activities related to Board, Board Committees, General Meetings, Unlisted subsidiaries – Preparation of Secretarial Notes, Statutory Registers and other documents. Preparation and submission of information as desired by applicable regulators; and compliances under internal controls. Preparation of notices/agendas and minutes for Board/committee meetings and related compliances and maintenance of records for the same. Preparation of Annual Disclosures of the Directors.

Compliance: Annual compliance, e-filing of Annual Return and other statutory forms Compliances under SEBI (LODR), 2015, Companies Act, 2013 and Secretarial Standards.

Draft and Maintain: Drafting of Directors Report, Notice, Agenda and Minutes of General Meetings. Maintaining various Statutory Registers like Register of Directors/ Members/ Director’s Shareholding etc.

Stakeholder Management: Engaging with Auditors/Secretarial Auditors.

The Group is responsible for the conduct of meetings of Board and Board Committees, Management level committees, General Meetings, Postal Ballot etc and also maintenance of necessary records regarding the same.
