Job summary

Electronica Finance Limited is seeking a Manager- Corporate Legal to oversee non-litigation legal frameworks at the corporate level. You will draft and review contracts, standardize loan documentation, and provide strategic legal advisory to cross-functional business heads.

Key responsibilities include drafting and vetting core commercial agreements, standardizing loan-related documents, and advising on complex equity/debt structures while interpreting legislative updates for business actions.

Job Title: Manager- Corporate Legal

Department: Legal

Reports To: Head of Legal

Job Purpose

The Corporate Legal Manager will oversee and execute all non-litigation legal frameworks at the corporate level. The primary focus is to draft and review various contracts and agreements, standardize loan documentation, draft high-value corporate contracts, and provide strategic legal advisory to cross-functional business heads and allied activities.

Key Responsibilities

1. Core Commercial Drafting & Vetting

• Draft, review, and negotiate critical corporate agreements, including co-lending agreements, master assignment deeds, and securitization documents related to various departments like treasury, Accounts & Finance etc. Structure vendor contracts, procurement agreements, technology licensing (SaaS) agreements, and Non-Disclosure Agreements (NDAs). Standardize retail and corporate loan documents, including loan agreements, sanction letters, guarantee deeds, and hypothecation agreements. Review marketing collaterals, product launch frameworks, and digital lending journey scripts to prevent consumer law liabilities.

2. Strategic Corporate Advisory

• Provide concrete legal opinions to the management on complex corporate matters, equity/debt fundraising, and structured finance deals. Advise treasury and business teams on the legal structuring of commercial arrangements like non-convertible debentures (NCDs), term loan borrowings etc. Interpret legislative updates and translate them into actionable business choices. Assess legal viability of new digital lending products, fintech partnerships, and co-origination models.
