Job summary

This role sits with the Girl Power Talk team, offering a platform to shape governance, transactions, and compliance strategy.

You will draft, review, and negotiate a range of agreements, advise on corporate matters, manage filings, and help scale the legal platform through cross-border initiatives and proactive risk

Qualifications

• J.D. from an accredited law school with strong academics.
• Active bar membership in at least one authority.
• 2–5 years of corporate law experience, in firm or in-house.

Responsibilities

• Provide legal counsel on corporate governance, operations, regulatory compliance, and strategic transactions.
• Draft, review, and negotiate corporate/commercial agreements (service, vendor, partnership, NDA, licensing).
• Support corporate transactions: M&A, JVs, fundraising, restructuring, due diligence.
• Advise leadership on legal risks, compliance and strategy.
• Manage corporate records, board resolutions, governance documents, filings.

Moving beyond outdated directories and referral-based systems, the platform leverages artificial intelligence to intelligently match professionals with specific case requirements, ensuring faster, more accurate connections often within 48 hours. While your expertise will directly contribute to Legal Experts AI's success, you will be part of the Girl Power Talk team. Responsibilities

• Provide legal counsel on corporate governance, business operations, regulatory compliance, and strategic transactions.
• Draft, review, and negotiate a wide range of corporate and commercial agreements, including service agreements, vendor contracts, partnership agreements, shareholder agreements, NDAs, and licensing arrangements.
• Support corporate transactions such as mergers and acquisitions, joint ventures, fundraising rounds, restructuring, and due diligence processes.
• Advise leadership and internal stakeholders on legal risks, compliance obligations, and business strategy from a legal perspective.
• Prepare and maintain corporate records, board resolutions, governance documents, and statutory filings to ensure compliance with applicable laws and regulations.
• Assist with entity formation, corporate structuring, and management of domestic and international subsidiaries.
• Monitor and interpret relevant laws, regulations, and corporate governance developments, providing proactive legal recommendations.
• Collaborate with finance, HR, operations, and external counsel on employment matters, compliance issues, and contractual obligations.
• Manage and mitigate legal risks related to commercial operations, partnerships, intellectual property, and regulatory exposure.
• Support dispute prevention and resolution efforts, including pre-litigation strategy and coordination with external legal advisors when necessary.

Qualifications

• Juris Doctor (J.D.) degree or equivalent legal qualification from an accredited law school with strong academic credentials.
• Active license and good standing with at least one recognized bar association or legal regulatory authority.
• 2-5 years of experience in corporate law, either in a law firm or in-house legal department.
• Strong understanding of corporate governance, contract law, commercial transactions, and regulatory compliance.
• Experience drafting, reviewing, and negotiating complex legal agreements independently.
• Familiarity with company formation, board governance, statutory filings, and corporate documentation requirements.
• Excellent legal research, analytical, and problem-solving skills.
• Strong written and verbal communication skills, with the ability to translate legal concepts into practical business advice.
• Ability to manage multiple priorities and work effectively in a fast-paced environment.
• High level of integrity, sound judgment, and attention to detail.

Required Skills

• Experience supporting mergers and acquisitions, fundraising, venture capital, private equity, or cross-border transactions.
• Familiarity with employment law, data privacy regulations, intellectual property matters, and commercial compliance frameworks.
• Prior in-house legal experience supporting startups, multinational corporations, or high-growth organizations.
• Experience working with contract lifecycle management tools, legal tech platforms, and document automation systems.
• Strong business acumen with the ability to balance legal risk and commercial objectives.
• Ability to work collaboratively across departments and manage relationships with external counsel and stakeholders.
• Experience handling multi-jurisdictional legal matters and international corporate structures is a plus.
