Qualifications

Responsibilities

• Lead 12-18 month IPO preparation and execution, coordinating with bankers, legal, auditors and advisors.
• Build IPO-ready financial reporting, MIS, controls and governance.
• Own financial planning, budgeting, cash-flow management and performance analysis.
• Lead statutory audits, tax, compliance and financial controls.
• Manage relationships with investors, banks, auditors and financial institutions.
• Support fundraising, capital structuring and investor communications.
• Ensure timely monthly/quarterly financial reporting and establish a strong finance team.
• Collaborate with CEO/COO/Board on strategy, cash management and capital allocation.
• Identify and mitigate financial, commercial and compliance risks.

CFO IPO & Corporate Finance

Location: Bengaluru

Reporting to: CEO / Board

Role Objective

Lead Company finance function and take the company through its IPO-readiness and IPO process over the next 12 to 18 months, while building strong financial controls, governance and reporting systems suitable for a listed company.

Key Responsibilities

• Lead the 12 to 18 month IPO preparation and execution, including DRHP, due diligence and coordination with merchant bankers, legal counsel, auditors and other advisors.
• Build IPO-ready financial reporting, MIS, controls, policies and governance.
• Own financial planning, budgeting, cash-flow management and business performance analysis.
• Lead statutory audits, tax, compliance and financial controls.
• Manage relationships with investors, banks, auditors and financial institutions.
• Support future fundraising, capital structuring and investor communications.
• Ensure accurate and timely monthly/quarterly financial reporting.
• Establish a strong finance team capable of supporting a listed company.
• Work closely with the CEO, COO and Board on strategy, cash management, profitability and capital allocation.
• Identify and mitigate financial, commercial and compliance risks.

Ideal Candidate

• CA mandatory; CA + MBA/finance qualification preferred.
• 10 to 15 years of experience, preferably in technology, deep-tech, manufacturing, defence, engineering or another complex/high-growth business.
• Prior IPO experience strongly preferred; having successfully taken a company through an IPO would be a major advantage.
• Strong experience in fundraising, investor management and corporate finance.
• Experience working with Big 4 auditors / investment bankers / legal advisors.
• Strong understanding of Companies Act, SEBI regulations, Ind AS and listed-company compliance.
• Entrepreneurial, hands-on and comfortable building systems rather than just managing an existing finance department.
• Strong communication and stakeholder-management skills.
