About Our Client
The company is a specialist mid‑market financial advisory firm with four decades of experience serving promoter families. We act as the promoter's extended team across the deal lifecycle, sell‑side M&A, IPO advisory, growth fundraising, and buy‑side advisory, with deal sizes typically ranging from INR 100 Crore to a few thousand crore across domestic and cross‑border mandates.
Job Description
Your responsibilities run across all four practices rather than sitting within any one of them:
- The financial case: build and own the transaction models, three‑statement, DCF, LBO, IRR, scenario and deal‑specific structures, that form the financial backbone of every mandate.
- The deal narrative: lead the information memorandum and investor materials, the investment story, financial analysis, projections and supporting data.
- The process and counterparties: select and manage the banker, legal and tax advisors; run the timeline from teaser through diligence, binding bid and close.
- Query and data room management: own the buyer and investor Q&A end to end, triage, responses, the Q&A framework, and the virtual data room.
- Valuation and negotiation: set valuation benchmarks and EBITDA adjustments; review term sheets, negotiate protections, and support the SPA or SHA through signing.
- Diligence: oversee vendor assist on sell‑side, and lead financial and commercial diligence on buy‑side, across workstreams and jurisdictions including cross‑border.
- The team: lead and develop the junior deal team, and act as the quality backstop on every deliverable that reaches a client.
- The working‑level relationship: be the promoter’s day‑to‑day operating contact on the deal, running the process so they stay focused on the business, with the CEO and Director holding the promoter relationship above you.
The Successful Applicant
- Chartered Accountant (mandatory).
- 5 to 7 years post‑qualification experience in M&A advisory, sell‑side advisory, fundraising, or mid‑market investment banking, from a boutique advisory firm or mid‑market investment bank.
- Strong financial modelling: three‑statement models, DCF, LBO, and transaction models.
- Demonstrated experience building transaction models and investor‑facing materials, information memoranda, investor presentations, and financial analyses.
- Independent workstream leadership on mid‑market transactions in the INR 100 Crore to INR 2,000 Crore range.
- Strong written communication: investment narratives, IMs, and presentations, and the ability to manage investor and buyer queries under time pressure.
- Ability to run multiple simultaneous mandates and to lead and develop junior team members.
- Buy‑side or due diligence experience is a plus, but not the primary requirement.
- Manufacturing or industrials sector exposure is an advantage.
